About the Opportunity 

At TM HCCI we believe our supplier relationship and approach to procurement is key to supporting our business. With a clear framework, vision and roadmap for procurement and supplier management we can optimise the strengths of our partner relationships and drive the best outcomes for HCCI. Having robust third party agreements is key to making this a success. 

This is a new role within the growing Procurement and Supplier Management team, presenting an exciting opportunity for the right individual to grow and continue building their In-House legal career. 

The role will be to lead on all Legal activity driven through the Procurement function. You will work very closely with the wider team including other professionals from Compliance (Legal Counsel and Data Protection) Security and IT based in the UK, across Europe and in our Corporate Centre in Houston.

The role will be to negotiate a range of contracts and agreements with third party suppliers and advise the business accordingly. Whilst a high proportion of agreements will be IT related the scope of the team is increasing from primarily being an IT based team to supporting the entirety of the business across the UK and Europe and accordingly you will be engaged in an increasing variety of work.

In parallel you will also need to build excellent internal stakeholder relationships with business leaders to ensure Procurement is a key enabler for business success. 

Job Purpose: 

Be the key focal point for all Legal activity relating to a diverse range of contracts within Procurement and Supplier Management. Providing consistent high quality best practice legal advice on contracts including review and negotiation on agreements across operational functions such as IT, HR, Facilities, Marketing, Finance and Speciality Insurance Lines of Business. 

Gaining the trust and confidence of stakeholders in a short space of time through your experience and knowledge. This coupled with the right personal skills and traits means you will quickly become a trusted partner to this business. 

Core Responsibilities: 

  • Negotiate a range of commercial contracts and agreements across business functions. For example, within IT this would include Software SaaS, EULA’s and professional service MSA and SoW’s for both on and offshore delivery
  • Provide ongoing legal support throughout the contract lifecycle to the business in risk mitigation and value for money from third party suppliers
  • Develop standard agreements such as MSA to enable the business to act on own paper/terms
  • Mitigate risk to the business through comprehensive agreements addressing areas such as Business Continuity/Disaster Recovery, Sub Contracting and Exit Plans
  • Drive Value for Money through use of innovative commercial models and clear SLA and KPI provision
  • Ensure compliance with regulatory requirements and company policies in supplier contracts

Skills and Experience Specification: 

  • Qualified Lawyer
  • Drafting, reviewing and negotiating a range of third party supplier contracts
  • Support in meeting contractual regulatory requirements
  • Knowledge of the operation of the London insurance market, its various participants and insurance regulatory requirements
  • Legal Counsel with experience in negotiating and drafting agreements with demonstrable knowledge of cloud and SaaS based agreements and agreements for professional services in the context of delivering complex projects utilising both onshore and offshore resources.
  • Strong commercial awareness with the ability to spot risks and offer constructive solutions, including review of commercial Statements of Work advising on risk management such as operation of milestones, penalties, damages etc.
  • Technical knowledge of areas of law and regulation relevant to supplier contracts.
  • Excellent oral and written communication and problem-solving skills.
  • Ability to work with a degree of autonomy whilst working collaboratively with a wider team based in the UK, Europe and America
  • Experience drafting contracts under UK and PRA regulation
  • Stay aware of changing regulations and update existing contracts to ensure they meet new regulatory requirements
