ICF is seeking a Senior Leader to support the continuing attainment of our growth goals with a primary focus on M&A and integration. This role offers an outstanding opportunity to help shape and implement the strategic direction of the firm through the refinement and execution of best practices for acquisitions, integration and other strategic initiatives. This position, which will be based in ICF’s global headquarters located in Reston, VA, will report to our COO and work closely with ICF’s Executive Leadership Team.

Key Responsibilities: As the M&A Leader, you will play a pivotal role in shaping our growth roadmap through strategic acquisitions. You will collaborate closely with executive leadership, business units, corporate functions, and external stakeholders to identify and execute M&A opportunities that align with our business objectives. Your responsibilities include:

M&A Strategy Development and Execution:

  • Develop and execute the firm’s M&A strategy, aligned with market trends, competitive dynamics, and growth opportunities.
  • Partner with senior ICF leadership to identify strategic gaps and work with the investment banking community to explore potential targets. Evaluate opportunities for strategic value and synergy, financial performance, and cultural alignment.
  • Ensure that the strategic objectives of acquisitions are clearly defined and well understood by all stakeholders. Monitor/track progress and budgets to help ensure strategic objectives are obtained. 

End-to-End M&A Leadership:

  • Lead the entire M&A lifecycle, beginning with target identification, pre-bid diligence and assessment, negotiation and deal closure, through integration planning and implementation.
  • Ensure a seamless and consistent M&A process via standardized workflows and playbook for each transaction that reduces unnecessary burdens to achieve the objectives.
  • Conduct due diligence, assess deal valuation, tax implications, negotiate terms, and ensure seamless execution of transactions.
  • Collaborate with cross-functional teams (Legal, Finance, Operations, HR, IT, and Facilities) to drive successful deals.
  • Identify and manage the resources needed for successful acquisitions.

Relationship Building & Partnership:

  • Build, leverage and maintain relationships with investment banks, legal advisors, and other external partners.
  • Leverage your network to uncover new opportunities and enhance deal-making capabilities.
  • Partner successfully with ICF Corporate including: Legal, HR, IT, Facilities and Financial teams to successfully complete pre-deal due diligence and post deal integration strategies.

Leadership and Mentorship:

  • Provide visionary leadership to our M&A team, fostering a collaborative and results-driven culture.
  • Manage and mentor ICF M&A team members at all levels, empowering them to excel in deal execution and integration.
  • Present M&A recommendations, progress updates, and impact assessments to the Board of Directors and senior leadership.

Post-Deal Integration and Value Creation:

  • Oversee post-transaction integration efforts, ensuring synergy targets are met.
  • Maximize value creation by aligning acquired assets with our strategic vision.

Required Qualifications and Experience: To thrive in this role, you’ll need:

  • Education: A Bachelor’s degree in business, Finance, or a related field. An MBA and CPA is preferred.
  • Experience: A minimum of 10+ years of M&A experience, operating at the Vice President Level. Demonstrated experience working in a professional services/consulting environment.
  • Scale: Experience working in firms of $1B+ and supporting acquisition deals at various levels.
  • Market knowledge: Demonstrated success with M&A across a range of markets including Information Technology.
  • Track Record: Demonstrated success in leading and closing complex M&A deals.

Professional Skills:

  • Financial Acumen: Strong analytical skills and an understanding of valuation methodologies. Strong accounting skills preferred.
  • Negotiation Skills: Excellent communication and negotiation abilities, and adept stakeholder management.
  • Strategic Vision: A strategic thinker who can help drive transformational change.
  • Adaptability: The ability to thrive in a fast-paced, dynamic environment.

Pay Range - There are multiple factors that are considered in determining final pay for a position, including, but not limited to, relevant work experience, skills, certifications and competencies that align to the specified role, geographic location, education and certifications as well as contract provisions regarding labor categories that are specific to the position. The pay range for this position is:

$241,182.00 - $410,010.00
