Our Pharmaceutical Diagnostics (PDx) business is the number one global supplier of contrast media and molecular imaging agents used to enhance medical imaging exams. The Senior Legal Counsel will have responsibility for providing legal advice on all aspects of the operations and initiatives of PDx, as well as structuring and negotiating a variety of strategic commercial contracts with PDx’s key customers and suppliers throughout the Region. These transactions and contracts typically include a wide range of products, software, and service offerings. Acting as a business partner, the Senior Legal Counsel is expected to provide advice to the senior business leaders on observed opportunities and direction, as well as to advise team members on day to day legal issues.

Job Description

Responsibilities

  • Working with the PDx Business’ Commercial team for the Region as a business partner to help identify opportunities to drive business forward and support growth opportunities and initiatives.
  • Drafting and Reviewing for example Sales & Supply agreements, Sourcing agreements, Contract Manufacturing Agreements, Clinical Development and Clinical research agreements, Co-development and licensing agreements, service contracts in accordance with the Business’ policies and procedures.
  • Review advertising and promotional material
  • The Senior Legal Counsel will:
  • coordinate with all functions through the development of winning strategies on PDx contractual agreements,
  • identify and mitigate risks in new agreements;
  • ensure contractual rigor;
  • draft, review and negotiate strategic and commercial business agreements and transactions with PDx key strategic customers (e.g. GPOs, wholesalers, contractors etc..) and suppliers;
  • Provide legal training for the broader region teams, particularly on contract terms and conditions;
  • Provide regulatory and Healthcare compliance advice in conjunction with the Regulatory and Compliance specialist areas in PDx, in relation to Pharma compliance and Pharma regulatory matters.
  • Assist in the due diligence, review and negotiation of inorganic opportunities,
  • Apply combined business and legal judgment to proposed deals, relationships and other issues requiring legal or compliance attention
  • Manage outside counsel incl. spend, when brought in to assist with the support of the legal operations team.
  • In conjunction with the other business counsels, support the management of disputes and litigation.
  • Support the development and maintenance of a strong culture of compliance including supporting Compliance projects and trainings, including e.g. support to the compliance specialists on forums such as the Compliance Review Board.
  • Conducting impactful trainings to the Business’ team in relation to legal, regulatory and Healthcare compliance matters.
  • Help manage relationships with government authorities as and when needed e.g. in relation to corporate and business licenses, pharmaceutical authorities, ministries of health, in close partnership with our government affairs team.
  • Provide specialist advice on matters of local law across the Region (in alignment with local colleagues where available), in particular on public procurement laws, competition laws and integrity laws (anti-bribery and anti-corruption), anti-money laundering and anti-terrorist financing laws, in close partnership with our global specialists.
  • Support PDx’s specialist on the screening and on-boarding of third-party vendors / suppliers / partners, including by way of conducting on-boarding interviews.

Qualifications

  • JD (or equivalent) with active bar membership preferably in a civil law jurisdiction; a dual civil law and common law qualifications is a plus
  • Substantial professional experience, with at least some in a law firm or a multinational company’s corporate legal department working on a variety of Healthcare/Pharma business legal matters, including previous experience of drafting, negotiating and closing business transactions;
  • Excellent verbal and written communication in English; a second working language (such as French, German, Spanish, Norwegian, Dutch) is a plus;
  • EU competition law understanding and international commercial law
  • Previous experience with different sourcing/procurement contract types and larger supply chain projects is a plus
  • Previous experience in identifying and resolving legal issues quickly and effectively and ability to make on the spot risk calls
  • Previous experience prioritizing conflicting demands from multiple business clients in an extremely fast paced environment
  • Strong personal integrity and commitment to operating ethically and professionally
  • Strong interpersonal skills and demonstrated team player ability
