Job Description

The Senior Counsel, Corporate Governance & Assistant Secretary will be responsible for managing complex corporate governance and legal entity management matters in support of Visa’s senior leadership and Board of Directors. 

Responsibilities:

  • Support the Board of Directors and its committees, including working cross-functionally to support the preparation of meeting materials and board books. 
  • Prepare proxy statements and assist with the planning and execution of the annual meeting of stockholders. 
  • Manage Visa’s corporate structure, including legal entity formation, merger and dissolution processes, and ongoing compliance with local legal requirements. 
  • Oversee team of paralegals responsible for global legal entity management. 
  • Provide advice and counsel to the Company’s senior executive team on corporate law and governance matters, including NYSE and SEC requirements.
  • Monitor corporate governance best practices and regulatory and legislative developments and provide proactive advice on compliance with applicable standards and updates to policies. 
  • Work cross-functionally to support shareholder engagement initiatives and communications. 
  • The role requires significant and active collaboration with others in Legal and Compliance as well as other functions within the Company, based across the globe.
  • You will report to the Vice President, Corporate Governance & Assistant Secretary.

This is a hybrid position. Hybrid employees can alternate time between both remote and office. Employees in hybrid roles are expected to work from the office 2-3 set days a week (determined by leadership/site), with a general guidepost of being in the office 50% or more of the time based on business needs.

Qualifications

Basic Qualifications:

  • 10 or more years of work experience with a Bachelor’s Degree or at least 8 years of work experience with an Advanced Degree (e.g. Masters/ MBA/JD/MD) or at least 3 years of work experience with a PhD
  • Juris Doctor degree required.

Preferred Qualifications:

  • 12 or more years of work experience with a Bachelor’s Degree or 8-10 years of experience with an Advanced Degree (e.g. Masters, MBA, JD, MD) or 6+ years of work experience with a PhD
  • Admission to practice law in at least one U.S. jurisdiction.
  • 5+ years corporate governance experience.
  • Experience with legal entity management.
  • Knowledge of U.S. securities laws and SEC matters.
  • In-house and/or large law firm experience.
  • Ability to build and maintain strong collaborative relationships with business partners.
  • Strong business acumen and practical and proactive problem solver.
  • Calm under pressure, and with a positive attitude.
  • Excellent written and oral communication skills.
  • International experience preferred, ideally with experience in complex cross jurisdictional projects, especially within a global/international company.

Additional Information

Work Hours: Varies upon the needs of the department.

Travel Requirements: This position requires travel 5-10% of the time.

Mental/Physical Requirements: This position will be performed in an office setting. The position will require the incumbent to sit and stand at a desk, communicate in person and by telephone, frequently operate standard office equipment, such as telephones and computers.

U.S. APPLICANTS ONLY: The estimated salary range for a new hire into this position is 192,300.00 to 283,850.00 USD per year, which may include potential sales incentive payments (if applicable). Salary may vary depending on job-related factors which may include knowledge, skills, experience, and location. In addition, this position may be eligible for bonus and equity.
