Job Description:

We are looking for a Corporate Counsel or Senior Corporate Counsel (depending on level of experience) to join Zscaler’s Corporate Legal team. You will support a wide range of public company matters, including ‘34 Act reporting, corporate governance, securities law compliance, investor relations, treasury and equity plan management. This role can be remote.

Responsibilities:

  • Assisting with the preparation of periodic reports, current reports and proxy statements under the 1934 Act. 
  • Assisting with maintaining the governance calendar for the board and its committees, preparing materials for board and committee meetings and maintaining minute books, as well as assisting with annual shareholders meetings. 
  • Assisting with insider trading law compliance, working with the stock administration team to maintain trading blackout/open window calendars and overseeing Section 16 reporting and 10b5-1 plan administration. 
  • Supporting compliance and certification activities relating to various corporate policies, including Code of Conduct, Insider Trading, Whistleblower and Anti-Corruption.
  • Assisting, generally, with public company securities laws compliance, including with respect to the 1933 Act, 1934 Act, 1940 Act and Hart Scott Rodino Act. 
  • Supporting cross-functional initiatives relating to ESG, investor relations, governance, compliance and international expansion. 
  • Assisting with M&A, venture investments, equity and debt financings and other strategic transactions.

Minimum Qualifications:

  • JD from an accredited law school 
  • Admitted to the Bar with license to practice in the US States. 
  • 4+ years of public company legal experience in a relevant setting (experience at a top law firm preferred)
  • Experience with public company reporting including the preparation of periodic reports, proxy statements, Section 16 reports and registration statements
  • Experience with maintaining a governance calendar for a public company board and its committees
  • Detail-oriented with excellent legal judgment, strong organizational skills and proven ability to deliver creative, thoughtful, and business-oriented results
  • Passion for building and improving processes to scale legal operations to support a rapidly growing business
  • Admitted to the Bar with license to practice in the US States.

Zscaler’s salary ranges are benchmarked and are determined by role and level. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries for the position across all US locations and could be higher or lower based on a multitude of factors, including job-related skills, experience, and relevant education or training.

The base salary range listed for this full-time position excludes commission/ bonus/ equity (if applicable) + benefits.

Base Pay Range

$161,000—$200,000 USD
