The Role

This is an exciting opportunity for an experienced commercial Legal Counsel to join the ERM Legal Group.

This new role will provide legal, contracts and governance support to ERM’s operations in Brazil which comprises almost 50% of our entire LAC operation. In this role you will help Brazil to achieve its overall mission of reducing ERM’s risk profile, improving decision-making and enhancing client relations. The role will cover a wide range of legal and compliance issues, covering countries located in the country but will also support on LAC regional initiatives at the request of the Regional Managing Counsel for LAC. 

This is a fast paced, commercially focused and highly collaborative environment, working with ERM business units, clients, service providers and external legal counsel in over 40 country locations. You will act as a trusted legal adviser to colleagues throughout the business unit at various levels of seniority. You will report to the Regional Managing Counsel for LAC, based in Miami, Florida.

Responsibilities:

With your expertise and knowledge, you will provide legal support and advice to the ERM business in Brazil.

  • Providing a prompt and efficient reviewing and drafting of a broad range of agreements, including consultancy service contracts, appointment contracts, master services agreements, subcontracts, reliance letters, confidentiality agreements and secondment agreements
  • Ensuring compliance with ERM corporate governance and compliance policies and procedures
  • Offering risk management advice to ERM staff at all levels of the business
  • Providing support on litigation matters
  • Providing support on the integration of newly acquired businesses
  • Supporting the LAC Regional Managing Counsel on special projects
  • Managing external counsel
  • Working in close cooperation with HR to brief new joiners to create/improve awareness of the legal requirement and risks of for drafting proposals and contracts
  • Providing practical, hands-on legal advice to business partners on a broad range of commercial, legal, regulatory and compliance risks
  • Supporting other business enablement functions

This role includes a significant component of contract reviews, drafting and advice as part of an in-house team in a business facing role, providing an end-to-end service with a wide variety of work and responsibilities.

What you’ll need:

  • Brazil qualified lawyer with at least 5 years PQE including in-house experience with a multi-national operations company organizations
  • Cross-jurisdictional experience and a well-developed understanding of commercial, contract and risk management issues, including the basic compliance and regulatory aspects relevant to an international company and global business
  • In-depth knowledge of contract law, distribution law, competition law, corporate and commercial law and data privacy laws
  • Excellent verbal and written communication skills
  • Good command of the English language (in addition Spanish would be an advantage)
  • Ability to work in cross-functional and international teams
  • Be able to work collaboratively as part of a team, but also able to work independently 
  • Be proactive and take the lead when necessary
  • Maintain a creative and pragmatic approach to problem-solving
  • Be professional, calm under pressure, well-organised, proactive, able to grasp concepts quickly and meet challenging deadlines
  • Experience conducting training sessions, providing legal guidance to internal stakeholders of all levels of seniority within the region and promoting awareness of legal risks and best practices
  • Procure appropriate information, present information, legal guidance and advice clearly and concisely, with content and style appropriate for the audience (whether one-to-one or in a group)
  • Build a relationship of mutual trust primarily with senior management and partners in Brazil
