Madrigal is a biopharmaceutical company focused on delivering novel therapeutics for metabolic dysfunction-associated steatohepatitis (MASH), a liver disease with high unmet medical need. Madrigal’s medication, Rezdiffra (resmetirom), is a once-daily, oral, liver-directed THR-β agonist designed to target key underlying causes of MASH. Rezdiffra is the first and only medication approved by both the FDA and European Commission for the treatment of MASH with moderate to advanced fibrosis (F2 to F3). An ongoing Phase 3 outcomes trial is evaluating Rezdiffra for the treatment of compensated MASH cirrhosis (F4c).

Job Summary:

The Senior Director, Legal – Global Market Access Counsel will serve as a legal advisor for the company’s market access function. This role is responsible for providing strategic counsel and legal oversight on matters relating to distribution, product purchasing agreements, pricing, reimbursement, health technology assessments (HTAs), tendering, and payer engagement across multiple geographies to support the Company’s market access function. The individual will ensure that the company’s access initiatives are conducted in full compliance with global, regional, and local laws while supporting innovative models that expand patient access to therapies.

Position Specific Responsibilities:

The key responsibilities for this role are:

Strategic Legal Advisory

  • Provide expert legal advice on market access, pricing, reimbursement, and payer engagement activities.
  • Serve as the primary legal representative for review of all payor-facing commercial & medical materials, HEOR presentations, and payor marketing materials.
  • Evaluate and guide innovative access agreements, such as value-based contracts, managed entry agreements, and risk-sharing models. - Anticipate and mitigate legal risks in emerging pricing and access frameworks across major global markets.

Compliance & Policy Guidance

  • Ensure compliance with healthcare laws and regulations, including anti-kickback statutes, transparency reporting, competition laws, and anti-bribery/anti-corruption frameworks. - Monitor global policy and legislative changes affecting pharmaceutical pricing and reimbursement, translating these into practical guidance for cross-functional teams. - Develop and maintain internal policies, processes, and training programs relating to global market access activities.

Cross-Functional Leadership

  • Partner closely with Global Market Access, Commercial, Regulatory, Medical Affairs, and Government Affairs teams to align strategies with legal frameworks. - Support payer and HTA submissions with legally sound approaches to data generation, evidence communication, and contracting. - Provide legal input in external interactions with payers, policymakers, and industry associations.

Contracting & Risk Management

Oversee negotiation and drafting of contracts related to market access, including payer agreements, distribution, and reimbursement contracts.

  • Proactively identify and mitigate risks related to global access strategies, ensuring business objectives are met without compromising compliance. - Manage external counsel as needed to address regional or highly specialized market access legal issues

Educational Requirements:

  • JD, LL.M., or equivalent international law degree; bar admission in good standing.

Experience:

  • 15+ years of progressive legal experience, with at least 8 years in the pharmaceutical, biotechnology, or healthcare industry.
  • Extensive experience advising market access clients on discount, rebate/price concession strategies, government pricing, copay/patient assistance programs, policy development, risk mitigation, and interactions with payers
  • Experience with reviewing and negotiating commercial and market access-related agreements, including: HCP/HCO services agreements, PBM and GPO agreements, Specialty Pharmacy agreements, discount and rebate agreements, distribution agreements, and market research agreements.
  • Extensive experience advising promotional review committees for payor-facing materials, market access, and patient support materials and assets.- Expertise negotiating and drafting payer agreements, including value-based arrangements.
  • Demonstrated expertise in global market access, pricing, reimbursement, and healthcare compliance.
  • Strong knowledge of U.S. and global healthcare laws and regulations, including the AKS/FCA (and related regulations, guidance, and safe harbors), FDACA, PhRMA Code, FCPA, relevant FDA Guidance and OIG Guidance and Advisory Opinions, FTC/FCC/SEC guidance (as applicable), etc.; additional experience with relevant ex-US laws and regulations is preferred.
  • Experience navigating diverse global healthcare systems (e.g., US, EU5, Asia-Pacific, LATAM). - Skills & Competencies: -Strong business acumen with the ability to integrate legal risk assessment into strategic business decisions. -Exceptional leadership, communication, and negotiation skills. -Proven ability to operate in a fast-paced, matrixed, global environment. -High ethical standards and sound professional judgment.
