Position Summary
The Senior Legal Counsel, Corporate & Commercial, at Empower Pharmacy plays a vital role in advancing Empower’s mission to expand access to safe, high-quality, and affordable medication while protecting the company’s interests through effective contract management. As the nation’s largest 503A compounding pharmacy and an FDA-registered 503B outsourcing facility producing more than 300 million doses annually, Empower is experiencing rapid growth and is on track toward its billion-dollar milestone. This position is central to scaling that growth responsibly by ensuring contractual relationships align with legal and regulatory standards while enabling strategic opportunities. Reporting to the Associate General Counsel of Corporate & Legal Operations, the Senior Legal Counsel, Corporate & Commercial, partners with business leaders across the organization to draft, review, and negotiate contracts that mitigate risk, foster trusted relationships, and create scalable frameworks that support Empower’s transformational growth.
Duties and Responsibilities
- Drafts, reviews, and negotiates complex agreements, including vendor contracts, customer agreements, licensing arrangements, confidentiality agreements, real estate and facilities agreements, corporate governance documents, and strategic partnerships that enable Empower’s rapid growth.
- Serves as subject matter expert for merger and acquisition transactions, corporate governance matters, and capital projects.
- Ensures all contracts comply with federal, state, and industry regulations while aligning with Empower’s policies, operational requirements, and long-term growth objectives.
- Collaborates with cross-functional stakeholders across sales, procurement, operations, compliance, marketing, and HR to deliver proactive, solutions-oriented legal support that balances opportunity with risk mitigation.
- Develops, maintains, and scales standardized contract templates, negotiation playbooks, and workflow processes that drive efficiency, consistency, and readiness for organizational expansion.
- Leverages AI-enabled contract management and legal technology tools to streamline drafting, automate review, identify risks, and enhance lifecycle management across Empower’s expanding portfolio.
- Implements and manages customer-facing contract solutions and contract automation tools to enhance business alignment and efficiency.
- Provides clear, practical, and business-focused legal advice to leaders and teams on contract rights, obligations, and risks, ensuring decisions align with Empower’s billion-dollar growth trajectory.
- Supports corporate transactions, audits, due diligence, and regulatory inquiries by ensuring contract documentation is accurate, current, and readily accessible.
- Advances the continuous improvement of Empower’s legal function by adopting innovative practices, scalable processes, and technology solutions that strengthen business alignment and operational excellence.
- Leads and supervises Contract Counsel on the contracts team, providing mentorship, guidance, and oversight.

Knowledge and Skills
- Strong knowledge of contract law and applicable regulatory frameworks.
- Experience with mergers and acquisitions, corporate governance, and real estate and facilities agreements.
- Supervisory experience managing and mentoring junior Contract Counsel.
- Demonstrated success negotiating complex agreements with vendors, customers, and strategic partners.
- Hands-on experience leading contract lifecycle management processes and driving process improvements.
- Familiarity with AI-enabled contract tools, contract automation platforms, and modern customer-facing contract solutions.
- Proven ability to collaborate effectively across business units, balancing legal risks with operational and strategic priorities.

Experience and Qualifications
- Minimum of 7 years of experience practicing law, with a focus on contract drafting, negotiation, and management, ideally within the pharmaceutical, healthcare, or life sciences industries. 4 to 6 years of experience at a law firm with a focus on corporate transactions, contracts, or commercial matters.
- Requires Juris Doctor degree from an accredited law school; active license to practice law in at least one U.S. jurisdiction.
- Certifications pertinent to mergers and acquisitions and corporate governance are preferred.
