As a Senior Corporate Development Analyst, you will leverage your advanced analytical and financial modeling skills, along with your experience in investment banking, corporate development, or related fields. In this role, you will actively support the company in all phases of acquisitions, divestitures, joint ventures, market research, company evaluations, sourcing, structuring, due diligence, financial modeling, valuation analysis, and deal negotiations. To excel in this position, you should possess excellent communication and project management abilities and be capable of working both independently and collaboratively within our Corporate Development team.

As SNC's corporate team, we provide the company and its business areas with strategic direction and business support spanning executive management, finance and accounting, operations, human resources, legal, IT, information security, facilities, marketing, and communications.

Responsibilities:

Financial Modeling and Analysis:

  • Develop and maintain complex financial models to evaluate potential mergers, acquisitions, divestitures, and other strategic initiatives.
  • Perform financial forecasting, budgeting, and variance analysis to inform decision-making.

Market Research and Analysis:

  • Conduct comprehensive market research to identify industry trends, competitive landscape, and potential opportunities for growth.
  • Analyze market data to support strategic planning and business development efforts.

Valuation and Due Diligence:

  • Conduct detailed valuation analyses of target companies, including discounted cash flow (DCF), comparable company analysis, and precedent transaction analysis.
  • Lead and coordinate due diligence processes, working with cross-functional teams to assess financial, operational, legal, and strategic aspects of potential transactions.

Transaction Support:

  • Assist in structuring and negotiating deals, including term sheets, purchase agreements, and other transaction documents.
  • Support the execution of transactions, ensuring alignment with strategic goals and financial objectives.

Strategic Planning:

  • Collaborate with senior management to develop and refine the company’s strategic plan, including long-term growth strategies and capital allocation plans.
  • Provide insights and recommendations based on financial and strategic analyses.

Stakeholder Communication:

  • Prepare and present detailed reports, presentations, and recommendations to senior executives, and other stakeholders.
  • Communicate complex financial and strategic concepts in a clear and concise manner.

Project Management:

  • Manage multiple projects simultaneously, ensuring timely and accurate completion of deliverables.
  • Coordinate with internal and external parties, including consultants, advisors, and counterparties, to facilitate successful project outcomes.

Post-Transaction Integration:

  • Support post-transaction integration activities, ensuring seamless transition and realization of anticipated synergies.
  • Monitor and report on the performance of completed transactions against initial objectives and projections.

Qualifications You Must Have:

Education:

  • Bachelor's Degree in finance, accounting, economics, business administration, or a related field
  • An MBA or other advanced degree in a relevant discipline may be substituted for relevant experience.

Professional Experience:

  • Typically 6 years of relevant experience in corporate development, investment banking, private equity, management consulting, or a similar field.
  • Proven track record of working M&A, divestitures, joint ventures & other strategic transactions.

Financial and Analytical Skills:

  • Strong proficiency in financial modeling and analysis, including experience with valuation techniques such as discounted cash flow (DCF), comparable company analysis, and precedent transactions.
  • Demonstrated ability to conduct thorough due diligence and market research.

Technical Proficiency:

  • Advanced skills in Microsoft Excel, including complex financial modeling.
  • Familiarity with financial databases and research tools like Bloomberg, Capital IQ, FactSet, or similar platforms.

Qualifications We Prefer:

  • MBA, CFA, CPA or demonstrable equivalent
  • May require some international travel on a project-by-project basis
  • Experience in corporate development, investment banking, venture capital, private equity or large-scale global-management consulting
