Job Summary:

Everest Global Services, Inc., a division of Everest Group, Ltd., has an immediate opening for a Corporate Transactions Paralegal to join our Law Department.

The Corporate Transactions Paralegal will support corporate governance, investments transactions and related compliance, and general corporate transactional work, in a flexible and shared environment.

This position is based in our Warren, NJ office, working a hybrid schedule of 3 days in the office, 2 days remote.

Key Responsibilities:

Investments and Corporate Transactions:

  • Serve as the primary paralegal providing support to attorneys on Everest’s Investments and Corporate Transactions, including to:
    • Support Everest’s subsidiaries focused on third party capital investors, Mt. Logan Re, Ltd. and Mt. Logan Capital Management, Ltd., with completing diligence items, maintaining offering documents, coordinating and preparing materials for board and committee meetings, researching marketing regulations, and addressing investor requests.
    • Assist with maintaining and updating internal policies, investor offering materials, third-party contracts, and investment policies and guidelines.
      • Support with Private Fund Investment opportunities, including private equity and private credit offerings, secured and unsecured Letters of Credit facilities and other credit financing agreements and Collateral maintenance arrangements, and various intercompany agreements.
    • Assist with closings, including preparing and maintaining records of transaction documents, coordinating authorization and execution of such documents, and compiling signed copies of closing deliverables.
    • Maintain internal document retention system and provide back-up support to marketing team regarding Intralinks portal.
    • Assist with regulatory research and filings for marketing in various global jurisdictions (including Bermuda, the United Kingdom and Europe, including the EU) and provide back-up support to the marketing team regarding Intralinks portal.
  • Support internal clients with Know Your Customer requests.
  • Handle various ad hoc requests from Attorneys and internal clients as assigned.
  • Communicate in a timely and professional manner with management on action items.

Qualifications:

  • Minimum of three (3) years of experience in a corporate in-house legal department or law firm supporting corporate clients on Private Funds, Capital Markets and/or M&A matters and transactions.
  • Paralegal Certification or commensurate working experience.
  • A New Jersey notary public.
  • Experience working for or supporting publicly traded company.
  • Familiarity with Diligent Entities or another global entity management platform.
  • Familiarity with SEC searches and Edgar filings.
  • Experience using Intralinks is preferred.

Required Knowledge, Skills, and Competencies:

  • Proficient in Microsoft Office, including Word, Excel, and PowerPoint, with strong computer and technical skills.
  • Flexible and eager to undertake new areas of responsibility.
  • Ability to follow established procedures for Domestic and International regulatory compliance requirements.
  • Attention to detail and strong organizational skills.
  • Capable of handling multiple projects with varying deadlines.
  • Strong written and oral communication skills.
  • Strong interpersonal skills and be able to flourish in a “team” environment and work independently.
  • Bilingual in Spanish with the ability to translate corporate documents (English/Spanish) is a plus.

For NJ Only: The base salary range for this position is $88,000 - $90,000 annually. The offered rate of compensation will be based on individual education, experience, qualifications and work location.
