Job Summary
The Director of Corporate Governance reports to the Deputy General Counsel, Corporate Affairs, and provides direct, critical support and leadership for all corporate governance matters for the ACFC including the Corporate Secretary’s Office. This role will develop and/or enhance corporate governance practices, policies and procedures, documents, and processes at parent and subsidiary levels, and align governance structure with industry standards and regulatory requirements. Will provide comprehensive leadership and consultative analysis providing recommendations and advising our corporate affairs and legal teams, boards of directors, and management teams on best practices in corporate governance. Engages with subsidiary boards, senior management, develops and supports governance training programs for board members and management. Identifies and resolves issues and recommends preventive and corrective measures. This role will also be a key liaison and interface regularly with both IBC and BCBS Michigan, and other external stakeholders. This role will lead team members and collaborate to perform all essential work around establishing more formal structure and processes in all Corporate Governance related work and activity.
Essential Functions
- Lead, direct, establish and formalize the company’s Corporate Governance efforts Provide primary consultative best practices support to the Corporate Secretary’s Office and senior management with Board of Directors and Board Committee (including regulated and non-regulated subsidiaries) on all matters related to Corporate Governance. · Research, assess, and advise companies on corporate governance strategy and exposure items, as they relate to reporting standards, regulations, peer practices, company strategy, and investor standards · Direct and formalize overall process for meeting preparation and related communications, including (i) drafting agendas; (ii) preparing approval items and materials; (iii) scheduling and coordinating the preparation, assembly and revisions of draft presentation materials, (iv) reviewing, organizing, proofing and publishing final Board presentation materials; and (v) preparing minutes, all with enhanced attention to detail.
- Provide research-based advice on corporate governance strategy to companies
- Collect and review corporate governance data, policies, and practices
- Perform competitive analysis using various tools and resources.
- Establish and assist with client management through industry/company or technical research and frequent interactions with client representatives
- Develop/enhance, maintain and update corporate governance and financial databases.
- Be accountable for all methodology/analysis/output on each staffed project
- Develop and maintain positive stakeholder relations through regular communications
- Interface with representatives of the owners (IBC, BCBS MI) from a governance perspective
- Collaborate with, advise and support, corporate and external counsel.
- Lead all efforts related to creating, establishing and executing in accordance with all internal process, protocols and standards related to:.
- Maintaining corporate records, including minute books, officer and director information, resolutions and written consents and subsidiary company data for the AmeriHealth Caritas family of companies.
- Maintaining all aspects the companies’ entity management database (hCue).
- Ensuring all required annual registration and/or periodic state and national corporate reports and regulatory filings are processed timely.
- Incorporating/qualifying of companies including drafting Articles of Incorporation, Bylaws, and other related documents.
- Assisting with required insurance holding company filings.
- Driving team members and participating in the timely completion of critical cross-functional work product, including communicating with and securing cooperation from directors, senior management, and other stakeholders throughout the enterprise in relation to corporate governance matters.
- Maintaining records, including charters and meeting minutes of the Board of Directors and committees, governance bodies and related entities.
- Conducting legal and factual research and make initial recommendations regarding best practices related to corporate governance matters.
- Lead and oversee team of Paralegal/support potentially over time.
- Oversees and manage corporate governance support staff, including hiring associates and developing skills.
- Communicates performance expectations and standards to staff and establishes guidelines for timely, accurate, and comprehensive completion of initiatives.
- Develops the team to assess competencies and manage to policies, procedures, and expectations.
Education/Experience:
- Bachelor’s Degree required.
- At least 10 years of overall experience in a corporate governance or related corporate environment
- Minimum of 7 years of direct experience managing corporate governance matters.
- Minimum 3 years managing people
Other Skills:
- Demonstrated experience formalizing structure, process and formality within a Corporate Governance function.
- Previous leadership/consultative role advising and supporting Corporate Governance best practices.
- Experience with corporate governance matters associated with regulated insurance companies, preferably life/health insurance companies.
- Experience with state insurance departments especially during the period of state insurance department financial examinations.
- Demonstrated proficiency preferred in hCue and/or Diligent Boards.
- Exceptional attention to detail with excellent verbal and written communication skills.
