The Energy Security Project (ESP) is a seven-year project funded by the United States Agency for International Development (USAID) and the largest USAID project in Ukraine so far. The USAID ESP is implemented by Tetra Tech, a leading consulting firm based in the United States. 

USAID ESP mission is to enhance Ukraine’s energy security, improve the energy legal and regulatory environment in the country, and increase the resilience of Ukraine’s energy supply. This will help to support the country’s economic development and sustain its democracy. Tetra Tech is working closely with the Government of Ukraine to develop competitive energy markets. By doing so, USAID ESP will facilitate private sector-led energy investments to provide affordable, reliable, resilient, and secure energy for all Ukrainians. This project is currently in the fifth year of implementation and will run through June 2025.

Position summary & job purpose:

Tetra Tech has an opportunity for a Senior Legal Expert who will be responsible to implement policy and legal tasks that support energy technical activities with the Ministry of Infrastructure of Ukraine (MIU) Support Project Team. The focus will be on assisting the ministry to evaluate energy projects and prepare proposals for funding of these projects. This is a long-term position, imbedded to the Ministry of Infrastructure of Ukraine for the period of 1 year with the possibility of extension for another term. This position will be based in the office of Ministry of Infrastructure of Ukraine in Kyiv., but it may involve occasional travels. Learn more about the ESP here.

Position responsibilities:

  • Continuously monitor existing and evolving policy, legislative and regulatory framework aimed at the implementation of distributed generation.
  • Conduct comprehensive policy and legislative gaps analysis for distributed generation with embedded cogeneration and renewable energy.
  • Drive the development of the related enabling policy, legislative and regulatory framework, in coordination with other ESP expert teams.
  • Provide recommendations for policy and legislative improvements to support project goals.
  • Advise on legal and policy matters in the areas of finance (including project finance or financial intermediaries, and/or corporate loans), equity investments, private equity funds, and/or political risk insurance in the context of negotiating and documenting transactions for projects.
  • Provide legal due diligence and review, draft, and/or negotiate pre-feasibility studies of the projects and all transaction documents leading to closing. The types of financing will primarily be comprised of project finance and infrastructure loans. The loans will often involve complex negotiations and documentation.
  • Draft, structure and/or negotiate key financing and credit agreements and advise teams structuring bankable documents for energy projects.
  • Provide guidance to and supervise the expert-legal staff. 
  • Collaborate with stakeholders to navigate complex legal and policy challenges.
  • Ensure compliance and address legal intricacies in the evolving policy landscape.
  • Contribute to project deliverables, reporting and communication materials as required.
  • Other duties as assigned.

Minimum Qualifications:

  • Applicants must be a graduate of an accredited law school with a LLM degree.
  • Be certified to practice law in the Ukraine.
  • 10 years specialized experience in analyzing and drafting energy policy, primary and secondary legislation for the energy sector.
  • Experience with distributed generation, cogeneration, and renewable energy is desired.
  • Have eight years specialized experience in project finance.
  • Experience working with donor agencies or international financial institutions.
  • Specialized knowledge of and ability to independently analyze whether the design, construction and operating contracts for energy projects are bankable at a high level.
  • Specialized knowledge of and ability to draft, structure and/or negotiate key financing and credit agreements and advise teams structuring bankable documents for energy projects.
  • Demonstrated ability to find solutions to financial/transaction issues.
  • Excellent working knowledge of written and spoken Ukrainian and English.
