The Counsel will provide (i) legal support in all country specific corporate and fiduciary matters, within Poland and (ii) legal support for Electrification Business Area within Poland and wider Central & Eastern Europe (CEEU). The Counsel will report to the CEEU Cluster Lead Counsel. This position may involve travel.

Your responsibilities

  • Represent L&I in the local management team(s) and in local boards at country level and provide strategic legal direction, legal support and advice to the relevant country management and local functions on corporate and fiduciary matters
  • Be responsible for providing legal support in the creation and update of local authorisation matrices and tables, to ensure compliance with local laws and regulations.
  • Provide local legal support in the relevant countries in connection with corporate governance and fiduciary matters, connected with any relevant M&A activity, establishment and closing of legal entities and branch offices.
  • Act as a Country Privacy lead in the relevant countries and provide local legal support in the relevant countries in connection to Data Privacy topics (local laws and GDPR).
  • Provide legal and integrity support and strategic advice in Poland and other CEEU countries in connection to Electrification Business in close coordination with the Division and Cluster Lead Counsels.
  • Participate in the formulation, interpretation and implementation of ABB policies to ensure consistency and compliance with applicable local laws.

Your background

  • Legal degree from accredited law school with a demonstrable superior academic record and law firm training.
  • Admission to the Polish bar. Significant legal post-qualification experience or equivalent in an internationally recognized law firm or multinational company, that includes, inter alia: Substantial “hands-on” experience in drafting corporate-related documentations, such as local companies’ board minutes, board resolutions, reports, etc.; Substantial experience in carrying out company secretarial tasks of legal nature. Demonstrable company law, regulatory or administrative law experience in the relevant countries.
  • Demonstrable fluency in English, including ability to draft and negotiate legal and corporate documents in English and such other language(s).
  • Strong command of corporation and commercial law and practices. Stakeholders management and superior negotiating skills and ability to work in complex international environment, substantial experience working in different cultures and an open mind which champions diversity and inclusion.
  • “Hands-on” business partner attitude with a solution-oriented mindset.
  • Experience in an engineering or industrial sector required, experience working in listed company and in regulated markets preferable.
  • Demonstrable leadership experience in coordinating with cross-functional and cross-country teams in complex transactions.
  • Superior advocacy and communication skills, including the ability to effectively and efficiently communicate in writing and orally, an aptitude for practical negotiation, the capability to think clearly and quickly under pressure, the composure to satisfy multiple and often competing interests and ability to share lessons learned with teammates.
