The Position

Objectives and Scope of Position:

  • Legal: Act as local senior legal in-house counsel of Roche Diagnostics Taiwan; advise all functions in legal matters and liaise with external legal firms where needed to minimize the legal risk exposure. In particular, handle all legal matters such as agreements with third parties and ensure that corporate documents are in line with applicable laws and regulations.
  • Compliance: Act as Local Compliance Officer and play a key role in promoting high standards of integrity. Ensure compliance is in line with global guidelines as well as industry association codes through implementation and monitoring of adequate procedures and process controls. Foster a climate and culture of compliance through trainings, monitoring and pro-actively addressing compliance issues.
  • Risk Management: Operate as an independent function to give assurance to senior management that business activities are executed within an adequate control framework and under consideration of the associated risks. Ensure adequate procedures to timely identify gaps within local policies, processes, procedures and systems and drive initiatives to close these gaps.

Responsibilities and Accountabilities:

Legal Activities:

  • Member of the Roche Diagnostics Taiwan Enabling Team
  • Ensure compliance of Roche Diagnostics Taiwan`s operation with all applicable local laws and regulations including but not limited to competition, data privacy, anti-corruption, and labor laws
  • Act as an in-house advisor to assess and help the affiliate understand legal risks relating to the areas above
  • Provide legal guidance to People & Culture on matters related to labor law
  • Act as business partner to all internal functions to support their projects / activities from a legal perspective
  • Ensure that contracts are effectively drafted, reviewed and vetted with relevant laws and regulations
  • Provide guidance and tools (e.g. templates, training) to the various stakeholders to effectively manage legal matters
  • Closely monitor developments and trend in the legal environment and develop/maintain a strong liaison with local law firms
  • Detect, assess and differentiate legal risks and develop adequate strategies / action plans to minimize the respective risk exposure together with external law companies.
  • Serve as the single point of contact to the regional / global legal teams and 3rd party legal service providers
  • Actively manage our local partnership with external legal advisors (end-to-end) including selection, contracting and service delivery
  • Manage legal disputes / cases end-to-end in close collaboration with internal stakeholders and represents Roche Diagnostics Taiwan in legal matters together with external law companies.
  • Manage the statutory requirements of the legal entity (e.g. change in Board of Directors), maintain corporate licenses and in general corporate housekeeping matters

Compliance:

  • Set up and/or update company’s guidelines and SOPs to ensure compliance with Roche Group Code of Conduct, global policies, relevant local and international laws, industry code and HCP Guidelines
  • Be responsible for all Compliance Training, including creation, delivery, reporting and establishing an compliance awareness
  • Apply Roche compliance tools to identify, monitor and mitigate compliance risks. Collaborate closely with Finance for regular review of expense claims and check in regard to Compliance to SOPs, Roche Group Code of Conduct, TW IRPMA Code of Practice as well as APAC Med Code of Conduct
  • Support in the investigation of alleged non-compliance cases. Report non-compliance behavior and support sanctions and remediation.
  • Based on audit / investigation findings or on-site check findings, identify process or business control improvement opportunities, initiate relevant discussion with stakeholders and/or process owners and follow up
  • Support company’s Compliance Committee Meetings
  • Review HCP engagement and sponsorship requests to ensure compliance to SOPs, Roche Group Code of Conduct, TW IRPMA Code of Practice as well as APAC Med Code of Conduct
  • Provide guidance to the business functions and answer their questions regarding the defined compliance standards
  • Closely monitor trends and implement changes (if any) of relevant global, regional and local requirements and standards
  • Establish effective as well as efficient processes and tools to manage compliance; drive initiatives for continuous improvement

Qualifications

Education :

Bachelor/Master in law; licensed as legal practitioner

Experience :

  • Minimum 5 years of relevant working experience in areas such as legal, compliance, preferable including the Medical Device/health care industry as an inhouse legal counsel and/or in a top tier law firm,
  • Practical compliance experience in terms of prevention (training) and detection (monitoring)

Specific Knowledge & Skills :

  • Strong record in managing legal activities and management of legal risks
  • Expert in health care compliance management including auditing experience
  • Thorough pharma and/or diagnostics business understanding as well as relevant key business process controls
  • Understanding of and ability to interpret Taiwanese labor law
  • Team player and strong ability to drive results through collaboration across various functions
  • Ability to handle ambiguity and complex legal / business topics
  • High integrity standards and distinct attitude to speak-up
  • Proven leadership and management skills
  • Excellent communication skills and fluent in English and traditional Mandarin
