The M&A Advisory Energy & Infrastructure Director, Executive Director, or Managing Director will be a critical part of the CastleOak M&A Advisory team reporting directly to the Head of M&A Advisory and responsible for sourcing and executing M&A advisory engagements with new and existing energy and infra clients including buy-side and sell-side mandates, strategic asset reviews, valuation assessments, and fairness opinions. The person in this role will advise public and private companies across the energy and infrastructure verticals on transactions including M&A, JVs, spin- offs, private placements, acquisition financing, IPO/follow-on equity offerings, and strategic partnerships. The M&A Advisory Energy & Infrastructure Director, ED, or MD will serve as the primary project leader in the execution of M&A assignments working closely with client executives, the internal deal team, and external counsel, consultants, and lenders. In the development of actionable strategic ideas and origination of new M&A advisory mandates, the M&A Advisory Energy & Infrastructure Director, ED, or MD will collaborate closely with financial sponsor coverage and capital markets professionals. 

Responsibilities

  • The M&A Advisory Energy & Infrastructure MD will lead or manage the following business development and deal execution processes: 

o originate new engagements and manage an active pipeline of potential M&A healthcare deals

o conceive, orchestrate, and deliver customized financial analysis and modeling;

o research, write, and structure client-ready presentations;

o conduct financial and transactional due diligence;

o identify and contact potential investors, buyers and sellers;

o source the most optimal and cost-effective financing alternatives in coordination with the capital markets team; (vii) review, analyze, and negotiate contracts and agreements; and

o successfully close M&A energy and infrastructure deals. 

  • Mine Rolodex contacts and develop new relationships to win business
  • Identify, screen, and diligence potential growth-oriented investment opportunities and present findings to internal committees for approval 
  • Analyze market trends and competitive landscapes to identify potential client solutions and M&A ideas
  • Manage, cultivate, and coach junior team members, providing consistent and constructive performance feedback

Required Qualifications

  • Proven track records of managing client relationships, anticipating major trends, advising on strategic transactions, and generating M&A advisory fees and in the energy and infrastructure industries, including renewables, power, water, waste, transportation, and digital infrastructure
  • Strong industry relationships and substantial transaction experience
  • Knowledge of U.S. takeover laws, corporate defense principles and merger accounting
  • Previous energy and infrastructure M&A advisory experience (7 or more years)
  • Strong communication, marketing, and presentation skills 
  • Ability to supervise vice presidents, associates, and analysts 
  • Outstanding achievement in academics, employment, and personal endeavors
  • Superior interpersonal, management and organizational capabilities
  • Ability to thrive in an entrepreneurial, roll up your sleeves, results-driven environment
  • Exceptional ethics, accountability, and integrity
  • FINRA Series 79 and 63 licenses
  • Bachelor’s degree

  • Expertise in private placements.

Work type: Full‐time, hybrid

Expected salary range: $175,000 - $275,000
