Assistant General Counsel – Transactions 

Overview 

Micron’s Legal Department is seeking an Assistant General Counsel - Transactions to support our Corporate Legal Team. This candidate is expected to provide high quality and timely transactional legal support to Micron’s Corporate Development Team and other business units in the areas of mergers and acquisitions, venture capital, joint ventures, and major capital investments. This candidate will work closely with subject matter experts in the U.S. and across the APAC region. The Assistant General Counsel – Transactions will also support corporate securities and corporate governance matters. 

Work Responsibilities 

  • Draft and negotiate agreements related to mergers and acquisitions, asset and share purchases/sales and ancillary documentation, including transition services agreements, consulting and employment agreements, tax matters agreements, IP license agreements, etc. 
  • Provide legal guidance related to the entire life cycle of deals, starting from planning, negotiation, execution, and post execution regulatory and integration support across jurisdictions, including the APAC region. 
  • Collaborate with subject matter experts on data privacy, intellectual property, regulatory matters, tax, public policy, security, finance, sales, procurement, and other internal and external stakeholders to ensure transactions are consistent with corporate strategy and policies. 
  • Support the company's public reporting obligations, including 10-Ks, 10-Qs, 8-Ks, and proxy statements, ensuring compliance with SEC regulations. 
  • Provide support for corporate governance-related matters, including but not limited to review and preparation of board and committee related materials, annual stockholder meetings, etc. 
  • Assist and support other internal departments such as HR, finance, accounting, tax, operations, and investor relations on legal matters, as needed. 

Minimum Qualifications 

  • College degree (B.A., B.S.) and Juris Doctorate (J.D.) from top-tier, ABA-accredited law school. 
  • Six or more years of related experience at a law firm or in a corporate law department. 
  • “First-chair”-level experience leading M&A and other significant transactions. 
  • Well-versed in explaining legal issues to business partners and other non-lawyers and offering practical legal and commercial advice. 
  • Outstanding legal drafting and negotiation skills. 
  • Confidence to share and propose ideas on legal issues to both internal stakeholders and external counsel/consultants. 
  • Excellent communications skills, both verbal and written. 
  • Cross-border M&A experience. 
  • Experience working for a multinational corporation is a plus.

  • Ability to work well autonomously, under pressure, balanced with willingness to contribute effectively to a team environment and to deal with multiple tasks at the same time with a highly analytical and curious mind. 
  • Flexibility to work in the locations and at times needed to support Micron’s worldwide operations, which will likely involve work in the evenings or on the weekends.
