What you will do

We are looking for an experienced, highly motivated and resourceful Corporate Paralegal. The Corporate Paralegal will support corporate governance matters, subsidiary maintenance, corporate recordkeeping, and commercial and transactional matters. This role will report to the VP General Counsel & Corporate Secretary and will provide cross-functional support to the Finance team, Treasury team, Tax team, HR team and business commercial teams.

How you will do it

  • Corporate secretarial responsibility for more than one hundred subsidiaries in APAC including due diligence, record keeping, preparation of filings, ensuring timely filing and payment of fees, and obtaining and maintaining signatures.
  • Prepare and file all necessary documents for formation/dissolution of subsidiaries including Articles of Incorporation, Bylaws, Articles/Certificates of Dissolution and necessary board and shareholder minutes and consents.
  • Evaluate the needs for and direct aspects of corporate qualifications and registrations for applicable businesses; coordinate with corporate agents to evaluate the needs for annual returns, foreign qualifications, business licenses and other governmental filings as necessary to comply with local, state and national requirements for business operations
  • Coordination with inside and outside counsel regarding documentation of corporate actions and ensuring compliance with company practices and procedures.
  • Update and maintain database of historical, stock, officer, director and other corporate information for all subsidiaries
  • Assist with compliance and corporate governance matters for domestic and international subsidiaries.
  • Assist in responding to requests for information and documents from our internal and external auditors, regulators, partners, and other stakeholders.
  • Support the VP Associate General Counsel & Corporate Secretary to create, modify, and improve corporate secretary support processes and techniques
  • Conduct and participate in the training, coaching, and mentoring of Corporate Secretary team members on the use of an entity management system, tools and techniques.
  • Manage existing and new service provider relationships along with playing a critical role in assisting with project plans.
  • Support corporate secretarial aspects of commercial transactions, financing and capital markets transactions, and M&A and other strategic transactions.
  • Assist other Legal team members with ongoing projects, as requested.
  • Assist other functional teams, such as the Finance team, Treasury team, Tax team, HR team and business commercial teams, on an as-needed basis.

What we look for

  • Paralegal certification and/or bachelor’s degree required.
  • 10+ years of relevant corporate paralegal experience with a law firm and/or in-house at a multi-national company. Prior experience in the manufacturing, buildings or technology industry is a plus
  • Strong working knowledge of corporate governance, subsidiary maintenance and corporate recordkeeping is essential. Experience with international entity management is desirable
  • Strong interpersonal skills, and ability to communicate and collaborate with individuals at all levels in and out of the organization.
  • Organized, resourceful self-starter with excellent problem-solving capabilities, judgment and communication (written and verbal).
  • Demonstrated ability to handle multiple projects, prioritize and meet deadlines in a fast-paced, results-oriented environment.
  • Proficiency with Microsoft Office 365 applications, including Word, Excel, PowerPoint, Outlook, Teams and SharePoint.
  • Comfortable with ambiguity and ability to operate independently.
  • Strong work ethic, team player and positive attitude.
  • Proven experience handling confidential and sensitive information with the ability to exercise discretion and show good judgment; honesty, integrity, and trust building behaviors in all dealings is essential and required.
