The Country Corporate Counsel Czech Republic will provide legal support to ABB in Czech Republic on a wide range of business and legal strategic, tactical, and operational issues. The position will be responsible for ABB Czech Republic’s legal obligations and will work closely with the country’s management team and board to ensure that the local ABB entity complies with its fiduciary obligations. This role covers the entire range of legal and integrity matters that would typically confront a complex and global business like ABB. The position is responsible for all ABB legal and integrity operational matters in Czech Republic.

Your responsibilities

  • Business Acumen
  • Carries full accountability for Legal & Integrity fiduciary duties in the country
  • Responsible for ABB legal obligations in the country and work closely with entity complies with its fiduciary obligation
  • Provides Legal and Integrity support and strategic advice to ABB management and other stakeholders
  • Acts as advisor to their business stakeholders
  • Monitors legal affairs, including but not limited to litigations and activity reports and occupies a seat at the table on local strategic fiduciary matters
  • Ensures good corporate governance in the area of accountability in the Country (structuring, drafting and negotiation) regarding mergers & acquisitions/divestiture transactions (leadership or key role)
  • Act as a Country Privacy lead in the relevant countries and provide local legal support in the relevant countries in connection to Data Privacy topics (local laws and GDPR)
  • Control outside counsel expenditures
  • Setting Strategy
  • Supports anticipating future business and legal opportunities and challenges and develop strategies to address them
  • Proactively identifies risks, external threats and opportunities to the company and proposes appropriate strategies
  • Board Membership
  • Serves as a member of the Board of Directors for our Czech company, ensuring legal compliance, risk management, and strategic alignment with corporate goals
  • Takes on board memberships in other companies within the ABB group as needed
  • Integrity
  • Manages and monitors the implementation and execution of the Code of Conduct and collaborates with the integrity & regulatory affairs team on integrity policies & processes as necessary
  • Intellectual Property (IP)
  • Monitors Intellectual Property (trademarks and patents), taking advice and guidance on IP matters, working with colleagues within the IP function
  • Annual Performance Plan
  • Participates in effectively managing the annual performance plan (APP)

Your background

  • Holds a master's degree in law (Mgr. - magistr práv) or an equivalent degree from a foreign institution that is recognized in the Czech Republic
  • Be a qualified lawyer admitted to practice in Czech Republic, with more than 10 years of post-qualification experience in private practice and in-house preferably with experience within the industrial sector
  • Profound expertise in corporate law, particularly with a specific focus on fiduciary duties and corporate governance
  • Experience as a board member is a plus
  • Extensive experience in advising boards of directors and executive management
  • Substantial "hands-on" experience in drafting and negotiating domestic and international commercial agreements (including but not limited to product sales contracts, distribution agreements, supply chain contracts, joint venture and consortium agreement, software licensing agreement, technology transfers agreement, joint development agreement) and complex transaction agreements
  • Significant experience with GDPR and data protection, labor law, software, technology and the digital sector, as well as related intellectual property aspects
  • Expertise and success in working and negotiating with international parties, including government authorities and enforcement agencies
  • Demonstrable regulatory or administrative law experience, preferably antitrust
  • Experience in managing litigation, arbitration and mediation
  • Fluent written and spoken Czech (native-speaker or equivalent)
  • Demonstrable fluency in English, including ability to draft and negotiate legal and commercial documents in English
  • Possess strong leadership skills and multiple years of experience in managing outside counsels
  • Strong business acumen, strategic thinking great influencing ability, leadership, and stakeholder engagement skills to achieve optimal company outcomes and a decisive, agile mindset
