Join us as a Corporate Secretarial Assistant, Office of the General Counsel (OGC).

The Corporate Secretarial Assistant, OGC, provides an excellent opportunity to join BBH’s Corporate Secretarial team, a subset of the Office of the General Counsel with responsibility for BBH’s global entity structure. The role shall report to the Managing Director, Corporate Secretary and is based at BBH’s New York City Office, in lower Manhattan. BBH operates a hybrid work policy, requiring staff to work three days in the office/two remote per week.

The role will assist the Corporate Secretary in maintaining the integrity of the Firm’s legal-entity governance framework and the efficient administration of the boards of directors and board committees of BBH’s operating subsidiaries (located across the Americas, Europe, and Asia). The Corporate Secretary’s team works closely with the firm’s Partners, independent directors, and senior management, requiring the highest standards of professionalism and discretion. If you have an interest in corporate governance and regulation and a genuine drive to grow professionally, please introduce yourself by submitting your resume.

The Corporate Secretary’s team’s core role is to provide advice and counsel with respect to such matters as:

  • The legal and organizational structure of the Firm and its subsidiaries.
  • Corporate legal and regulatory requirements and industry best practice.
  • The effective administration and operation of board meetings.
  • Corporate organizational documents.
  • Directors’ duties and the effective execution of their responsibilities. 

Responsibilities of the role shall include:

  • Scheduling quarterly board and committee meetings for numerous cross-jurisdiction subsidiaries; liaising with directors, including external directors, tracking acceptances, and ensuring quorum requirements are met.
  • Facilitating director signatures on meeting minutes, resolutions, agreements, and other corporate documentation.
  • Filing electronic and paper copy meeting minutes, resolutions, agreements, and other corporate documentation.
  • Reviewing and enhancing the electronic filing system and inputting information into entity database.
  • Arranging certifications, notarization, and authentication/apostilling of documents.
  • Facilitating the annual review of Inter-Company Service Agreements and reflecting necessary updates.
  • Compiling and updating Board and Committee meeting packages, using Board Portal software.
  • Maintaining subsidiary authorized signatory lists.
  • Responding to requests from other internal departments, e.g., Internal Audit, Compliance, Finance, Risk, H.R., as well as external auditors.
  • Maintaining corporate filings register, to ensure global regulatory filings requirements are met.
  • Maintaining distribution lists for board and committee meeting materials.
  • Monitoring shared team mailbox and responding to ad-hoc requests.
  • With guidance from other members of the team, taking minutes of meetings and circulating actions points, as needed.

Desired Skills/Qualifications:

  • Bachelor’s Degree.
  • 2+ years working in an office environment (preferably law firm or financial services industry).
  • Well-organized and detail oriented.
  • Proactive; able to work off own initiative; multi-tasking skills.
  • Excellent written and oral communication skills.
  • Strong interpersonal skills and a “can-do” approach.
  • Aptitude for technology (experience working with an Electronic Board Portal a plus).
  • Ability to manage multiple projects simultaneously.
  • Strong sense of professionalism, business ethics and general willingness to take on ad-hoc projects as needed.

This role is based in our New York City location and is a hybrid role, with three days per week in office.

Salary Range

$65k - $75k base salary + annual bonus target

BBH’s compensation program includes base salary, discretionary bonuses, and profit-sharing. The anticipated base salary range(s) shown above are only for the indicated location(s) and may differ in other locations due to cost of living and labor considerations. Base salaries may vary based on factors such as skill, experience and qualification for the role.
