Basic Function

HF Sinclair in Dallas is seeking a Paralegal to solve unique problems and provide advanced paralegal assistance to Corporate Legal and internal clients including matters pertaining to the review, preparation, investigation, and analysis of regulatory, compliance, and contractual issues. Leads projects and teams with moderate to high complexity as needed to accomplish legal objectives for the business. Maintains and administers paper and electronic files in order to meet the Company's requirements. Works independently with guidance in only the most complex situations.

Job Duties

  • Manages and leads document preparation and retention of resolutions, proxy statement, special projects such as acquisition and merger related activities, and other related legal documents.
  • Provides legal assistance to the Legal Department SVP and attorneys and acts as a liaison between the company and outside counsel, third parties, and in-house employees. In addition to, working with company employees on cross-functional special projects and initiatives.
  • Reviews, prepares, administers and maintains accurate and up-to-date information, systems, reports and other related documents (agreements, contracts and legal memoranda) in the corporate database for government and other reporting entities to ensure all legal entities (including international) maintain compliance and reflect current legal relationships
  • Coordinates all materials and documents (financial and legal) required for review at specified meetings, and obtains all necessary approvals including, but not limited to, external lawyers and auditors
  • Codes, approves for payment, obtains signatures, and ensures accurate payment of all legal fees for domestic (US) and foreign legal entities
  • Coordinates correspondence to outside corporate directors
  • Performs legal and factual research and analyzes past case law impacting corporate strategies, statutes, recorded judicial decisions, trademarks and patents, legal articles, constitutions, and legal codes
  • Provides executive administrative support to the legal department's SVP and at times the attorneys
  • Organizes, tracks, and collects project files, contract expiration dates, filing deadlines, calendaring, and metrics
  • Monitors and maintains company intellectual property portfolio and assists in filing patent, trademark, and copyright applications

May include some or all of the following depending upon assignment:

  • Provides specialized paralegal support (e.g. SEC filing or contract administration)
  • Maintains corporate minute books
  • Reviews and monitors new and updated laws and regulations in relevant fields of law, including telecommunications, corporate governance, information security, intellectual property and government contracting
  • Interviews clients to gather background information needed for contract review and preparation

Special assignments or tasks assigned to the employee by their supervisor, as determined from time to time in their sole and complete discretion

Experience

A minimum of zero to eight years of paralegal experience handling unique and complex situations, transactions and documents required. Must have proven history working and directing with outside counsel

Education Level

A minimum of a Bachelors Degree or the equivalent number of years of directly related experience is required.

Demonstrates high standards of integrity, honesty, ethics, and confidentiality. Able to apply advanced clerical and data entry assignments based on pre-established guidelines. Ability to manage multiple projects in a fast-paced environment with minimal supervision. Ability to communicate effectively in person and by telephone with the public, attorneys, government entities, contractors, etc. Ability to successfully negotiate with all internal client levels, external counterparties, and personalities. Advanced knowledge of the purpose and technology of legal documents and extensive knowledge of legal terminology. Advanced knowledge of legal concepts and procedures. Thorough knowledge of legal and business communication principles and practices, legal research techniques, and legal terminology. Relevant computer knowledge and experience. Advanced research, analytical, and critical thinking skills. Ability to work well as part of a team. Proficient in Microsoft Office Suite, including Microsoft Word, Excel, PowerPoint, and Outlook. Strong written and verbal communication skills; detail oriented; proven ability to work in a complex environment with multiple priorities and projects while maintaining a high stress tolerance. Proficient in planning and organizing, and monitoring information. Advanced reading and intermediate math skills.

PREFERRED SKILLS:

Certified Legal Assistant (CLA) with the National Association of Legal Assistants (NALA) preferred.

Supervisory/Managerial Responsibility

May provide direction to junior level paralegals, interns, and contract personnel.

Work Conditions

Office based with travel up to 5% required by land or air. Subject to varying road and weather conditions.

Physical Requirements

Job conditions require standing, walking, sitting, twisting, stooping, crouching, kneeling, talking or hearing, making visual inspections, making precise hand and finger movement, lifting and carrying up to 20lbs, pushing and pulling up to 20lbs.
