SUMMARY

This position is dedicated to advising and supporting the Group entities in corporate legal matters, in particular, the corporate secretarial function in China. The Corporate Paralegal is responsible for supporting the legal team on all corporate legal matters for the Group entities in China. The roles and responsibilities of the Corporate Paralegal include, but are not limited to the following:

ESSENTIAL DUTIES AND RESPONSIBILITIES

  • Undertake full spectrum of corporate secretariat responsibilities in China
  • Provide corporate secretarial advice and services to the Group’s entities in a timely manner
  • Administration and co-ordination of board meetings and etc.
  • Draft notices, resolutions and minutes of meetings
  • Prepare and review AoI/AoA, SHA’s, SPA’s and other corporate documents for the Group entities
  • Coordinate the incorporation and registration of the local companies and branches
  • Work with the Group’s corporate counsels and external secretarial agents to ensure statutory compliance with local and foreign regulatory requirements and with all other applicable codes
  • Monitor changes in the relevant legislation and the regulatory environment relevant to our business and provide timely and constructive suggestions or recommendations
  • Supervise the maintenance of the Group register of directors and shareholders and the filing system regarding corporate documents and records
  • Support the legal team on legal research in various areas
  • Prepare inter company agreements and other relevant documents
  • Handle legal fee billing and payment relevant matters and maintain the legal budget spreadsheet up to date at all time and prepare year-end report

QUALIFICATIONS

  • LLB required and preferably admitted to the PRC Bar
  • Minimum of 3 years relevant experience in a similar position in either a law firm or a multinational company in China
  • Good understanding of corporate and foreign investment laws
  • Excellent organization, presentation, communication, writing and interpersonal skills
  • Ability to work under pressure and with limited resources
  • Team player, self-motivating, collaborative and energetic
  • Fluent in Mandarin, excellent command of written and spoken English
  • Proficiency in MS Office applications
