Job Summary - Director, Board Governance

Responsible for all aspects of board governance support, including (1) Corewell Health system board and committee meeting preparation (including board and committee book preparation via the board portal), board member onboarding, board education, board chair support, board communication, and any other areas that would advance the effectiveness of the Corewell Health board; and (2) lead development of board governance standard work and best practices for all boards within the Corewell Health system. Leads team to guide, influence, and support board governance team members across the system to ensure all boards are highly effective in carrying out their fiduciary duties and governance responsibilities. Works closely with members of the system leadership team and their advisors, as well as with board governance team members to drive effective board governance practices throughout all Corewell Health entities.

Essential Functions - Director, Board Governance

  • Lead team to effectively support Corewell Health system board and develop standard work for effective board governance systemwide.
  • Primarily responsible for preparation of online board book for all Corewell Health system board meetings and oversight of Corewell Health system board committee books 5-7 days prior to each meeting.
  • Develop and produce, in collaboration with subject matter experts, board orientation and education materials and sessions. Maintain all corporate governance records in a single location.
  • Collaborate with board and executive leadership to promote an effective board culture within all Corewell Health boards.
  • Maintain thorough knowledge of board governance best practice and keep Corewell Health boards functioning in the most effective ways possible. Ensure consistent orientation, onboarding and expectations for governance support across the organization.
  • Ensure team has Corewell Health system board and committee books, agendas, and other forms of communication and meeting materials completed and distributed in a timely manner, providing post-meeting minutes and other follow up items by established deadlines; develop and promote standard work among subsidiary boards to achieve same.
  • Build and maintain strong relationships with executive leadership and board governance support team members.
  • Ensures that board portal and other technology solutions serve the needs of the Corewell Health system board and other boards throughout the organization.
  • Support planning of board gatherings, such as annual board summit and other board events.
  • Understand and promotes continuous improvement through process redesign and reengineering, leading key teams as appropriate, to enhance the quality of governance.
  • Provide teams with strategic direction; establish work standards and behaviors. Oversee selection, training, development and evaluation of team members.
  • Ensure deadlines are met with the ability to escalate overlaps and misalignments, as well as synergies and opportunities in all project work
  • Engage in continuous industry/technical study, including best practices, to maintain professional competence, knowledge and skills necessary as a leader and influencer within the department and organization and among professional peers.

Qualifications - Director, Board Governance

  • Required Bachelor's Degree Liberal arts education
  • 7 years of relevant experience with 3 or more years leading board governance work Required
  • This board governance leader will have the option to work out of Corewell Health's offices in either Grand Rapids, MI or Southfield, MI
