PJT Camberview Overview:

PJT Camberview, our shareholder advisory practice, provides holistic shareholder advisory advice across governance advisory and annual meeting support, strategic investor relations and activism preparedness and defense.

Responsibilities:

PJT’s Activism Defense team is one of the most experienced teams in the industry and has been involved in some of the largest activism situations and defense transactions across industries in recent years. Our team is differentiated by the investor perspective we use to shape our clients’ strategy, which is grounded in our decades of first-hand experience leading the governance and investment teams that voted on activist campaigns.

Vice Presidents and Directors on the Activism Defense team work closely with senior team members in leading client relationships and provide oversight of Associates and Analysts in executing deliverables. Specific responsibilities of the role may include:

  • Play a central role in leading the day-to-day execution of live activism mandates across preparedness and defense
  • Interact directly with clients, senior Activism Defense team members and other PJT colleagues, as well as other advisors
  • Advise on campaign strategy including a comprehensive shareholder engagement and messaging strategy to achieve success for the client
  • Apply an investor-centric lens to all facets of the activist’s investment thesis and campaign platform, including a review of activist’s strategic, financial, operational, board, governance, compensation and ESG arguments
  • Produce client-ready deliverables, including investor presentations, fight decks and letters and Board presentations
  • Work alongside senior Activism Defense team members to support and participate in business development efforts to expand existing firm relationships and pursue new opportunities
  • Help to identify Activism-focused opportunities including through monitoring developments in activism and financial markets
  • Play a role in pitching new business
  • Prepare and present comprehensive risk assessments across financial, strategic and governance matters
  • Develop internal and external communications highlighting key themes and insights into the activism landscape
  • Evaluate key trends and notable updates in the activism landscape, recent campaigns, and impact of relevant regulatory changes and market conditions
  • Synthesize information into a format that conveys the most important themes and insights
  • Assist with development of team members
  • Provide oversight of Associates and Analysts in executing deliverables
  • Work closely with Associates and Analysts to assist with their professional development

Requirements:

To be considered for the Vice President / Director role, applicants must meet the following criteria:

  • Minimum Bachelor’s Degree
  • Minimum 5 years of experience ideally, ideally in an activism focused role at Investment Bank, law firm, hedge fund or related financial firm
  • Exceptional communication skills, including demonstrated comfort and facility with oral communication
  • Team-oriented mentality with a strong work ethic and desire to learn
  • Demonstrated interest and intellectual curiosity in activism and the investor landscape

Qualifications:

As a firm, we seek to hire individuals who are highly motivated, intelligent, and are proven self-starters. In addition to strong analytical and quantitative skills, the successful candidate should have excellent communication skills, a demonstrated ability to write effectively, interests outside of work and a desire to work in a team environment. A strong background in finance/accounting is required. 

Expected annualized base salary of $250,000 to $350,000.

This range represents the low and high ends of the expected annualized base salary for this position. The specific base salary received by any employee will be informed by a number of factors, including but not limited to, role level and scope, location, candidate’s relevant qualifications, skills and experience.

Base salary is one component of PJT Partners’ compensation structure. In addition to base salary, PJT Partners’ compensation structure may include additional rewards, incentives, and benefits, including but not limited to, a discretionary bonus component.
