PURPOSE OF THE JOB

The Regional Legal Affairs & Compliance Attorney will be located in Abu Dhabi, reporting to the Elliott Turbomachinery Limited Abu Dhabi main office. This role manages primary daily aspects of legal and compliance matters in Abu Dhabi and the EMA region for the Ebara Elliott Energy (“EEE”) Risk Management Department. The Regional Legal Affairs & Compliance Attorney will also partner in the strategic analysis and management of EEE legal, and compliance matters worldwide, with the goal of forging pathways toward corporate governance, risk mitigation and commercial resolution.

This position will report directly to the Legal Manager, Corporate and Regional Affairs (Legal and Compliance) and will proactively participate in the efforts of the EEE Risk Management Department to effectively service EEE internal clients, i.e. Executives, Finance, Operations, Quality, Environmental Health and Safety, and Human Resources, with a focus on operations in Abu Dhabi and the EMA region. As the Company continues its global expansion and growth, the Regional Legal Affairs & Compliance Attorney will function to advance and fulfill strategic business goals through creative analysis, innovation, corporate management, governance and conflict resolution.

BACKGROUND and EXPERIENCE

Minimum educational requirement: Licensed attorney recognized in Abu Dhabi.

Minimum Licensures: Has the right to practice and holds all necessary licensures in the legal profession in Abu Dhabi (without any breaks);

Minimum professional work experience requirement: 8 to 10 years of experience as a practicing lawyer with a minimum of 4 years of corporate governance, contracts and/or regulatory and compliance experience with a law firm – experience with manufacturing clients is preferred.

Candidate must be able to multi-task and manage various types of legal issues.

This position requires development and implementation of creative commercial and business solutions for complex circumstances in a global environment. 

Excellent research, writing, communication and interpersonal skills are essential to effectively perform the functions of this position along with a demonstrated cross-cultural awareness.

The candidate must have extensive knowledge of compliance laws in Abu Dhabi and the EMA region, with familiarity in corporate compliance requirements. Further, a demonstrated clear understanding of trade control, anti-bribery, anti-money laundering and anti-corruption regulations, employment, anti-harassment and privacy are essential.

The individual must be fluent in English, able to speak in a persuasive, confident and effective manner, and to present recommendations in a succinct and concise manner. Further, excellent communication and interpersonal skills, with a demonstrated cross-cultural awareness and exemplary writing and research skills.

The candidate must be proficient in Microsoft applications including Word, Excel, PowerPoint and Access.

Knowledge and experience with Gmail and Lotus Notes is preferred.

SPECIFIC JOB RESPONSIBILITIES/COMPETENCIES

The specific responsibilities shown here are in descending order. Since this position functions in an atmosphere of multiple changing priorities, the least important duties may become the most important duties at any given time. The position requires the incumbent to manage primary daily functions for the EEE Risk Management Department to effectively counsel and support to Company operations worldwide. The position requires sound critical thinking and analytical ability, as well as good interpersonal and problem solving skills, and a clear appreciation and focus on the importance of reaching operational goals and mitigating commercial, legal and compliance risks. It requires a background in corporate governance, compliance and regulatory analysis, and an understanding of business and contracts. This position requires the individual to be well-organized, able to multi-task, and to respond to requests in a timely manner in order to address tight deadlines. The individual needs to be flexible, with an ability to prioritize, as the demands of each day can vary greatly. Planning is an essential/key element in every aspect of this job function. The specific job responsibilities include, but are not limited to, the following:

Ensure that EEE and its subsidiaries observe their legal obligations and appropriately document their structure and actions by maintaining corporate records, commercial registry and business license documentation, both regionally and globally;

Manage primary functions of the EEE Compliance Program within the EMA region with focus on anti-bribery, anti-corruption, employment, harassment, privacy, risk identification and mitigation, and trade control (import and export). This will include evaluation of the effectiveness of internal control processes and development measures to prevent violations, as well as identify improvements.

Investigate, analyze and provide recommendations on potential compliance or export violations.

Review, draft, modify and implement company compliance and export policies, forms and agreements, as well as establish and implement compliance training for internal and external stakeholders within the designated region in accordance with established global export compliance procedures and local requirements.

Responsible for reviewing and analyzing potentially prohibited transactions and make determinations with respect to permissibility. Oversees export compliance screening processes in high-risk jurisdictions; review, researches and advises on results and manages risk at designated locations.

Perform contract review and drafting of purchasing, sales, commercial real estate and confidentiality agreements and interface with Company personnel.

Interface with local counsel, both regionally and globally, to formulate strategic analysis and planning of the defense of EEE in anticipated and current litigation.

Manage and counsel the Company with respect to employment and Human Resources matters.

Proactively secure an understanding and working knowledge of the Company equipment and products to support the legal and compliance functions.

Support Company compliance matters, both regionally and globally, in relation to the management of sales representatives, sanctions screenings, trainings, investigations, regional compliance documentation, including Integrity Pacts and the like.

Present important legal and compliance developments to the Company.

Maintenance professional license and skills by regular participation in continuing education and seminars and by reading professional materials; and

Timely address all matters requested by the EEE Risk Management Department on a daily basis.
