Senior Corporate Counsel & Assistant Secretary

Over the past several years, Sotera Health has built a corporate team to support the various business units and to continue to execute the strategic expansion of the Company through organic growth, partnerships and acquisitions. The senior leadership team has established corporate headquarters in Broadview Heights, Ohio. 

JOB SUMMARY

Reporting to the General Counsel, the Senior Corporate Counsel will be responsible for the Company’s corporate governance and securities law reporting and overseeing the Company’s partnerships with its outside counsel and the Legal Department’s use of artificial intelligence and other advancing technologies. S/he will provide legal advice and counsel to members of management and the board of directors. S/he will be expected to be a hands-on-practicing lawyer and a collaborative member of a Legal Department comprising eight attorneys, two legal assistants and an executive assistant. The position is based in Broadview Heights, OH.

Principal Responsibilities

  • Leadership on corporate governance matters, including the Company’s annual meeting, preparing, organizing, and disseminating the prereading for board of director meetings, drafting and maintaining board minutes and resolutions; ensuring implementation of decisions made by the Board of Directors; and managing the Company’s corporate entities, including compliance with statutory and regulatory requirements
  • Providing advice on disclosure requirements and spearheading the Company’s securities law filings, including proxy statements, registration statements, Schedule 13G’s and Form 10K’s, 10Q’s, 8-K’s and 4’s
  • Overseeing the Company’s legal operations, including the oversight of outside counsel and billing procedures and the procurement/use of software and advancing technologies to provide the Company with cost-effective legal advice and representation
  • Legal Operations Knowledge: Familiarity with legal operations principles, including process improvement, project management, technology implementation, and data analytics to enhance the efficiency of legal workflows.
  • Cost Management: Experience in managing legal budgets, controlling costs, and optimizing resource allocation to enhance the overall cost-effectiveness of legal operations.
  • Vendor Management: Ability to manage relationships with external legal service providers, including law firms and legal technology vendors, to ensure cost-effective and high-quality services.
  • Monitoring the Company’s intellectual property requirements (e.g., trademarks).
  • Supporting acquisitions and related due diligence processes, including coordinating, and directing external legal counsel on due diligence processes
  • Assisting colleagues as needs may arise, including providing timely legal advice and counsel to internal stakeholders and collaborating with teammates in the Legal Department on time-sensitive priorities and projects

Minimum Qualifications (Education, Experience): 

The position requires an accomplished attorney who is self-motivated and results-oriented, intrigued by the potential of Legal Technology, eager to take on new challenges and able to succeed within a performance-focused and dynamic environment. 

  • J.D. from an accredited law school with license to practice in Ohio
  • 10+ years of legal experience in complex corporate law, which may include a combination of law firm practice and/or in-house roles 
  • Demonstrated experience with the corporate governance of publicly traded companies, including expertise in the securities laws and related disclosure requirements and a track record of preparing complex SEC filings
  • Experience in legal operations and law firm budget management including billing, analysis, and forecasting
  • Working familiarity with basic intellectual property principles
  • Experience in supporting mergers and acquisitions matters, including due diligence and various exit strategies
