Job Description/Responsibilities:

  • Work closely with local management, counseling and advising on a wide variety of complex and developing legal, regulatory and compliance issues in connection with CS Group’s business in India.
  • Serve as a trusted legal advisor to the CS Group’s business units, functional departments, and the Managing Director for India and provide agile, practical and business minded advice.
  • Advise the business teams on strategizing and resolving legal issues that arise in existing commercial relationships, potential disputes and addressing any government enquiries.
  • Analyze, structure, draft and negotiate technology licensing, strategic frameworks and other commercial agreements.
  • Support the procurement department on complex legal issues related to vendor contracts
  • Assist the sales teams in preparation of commercial bids from a legal perspective and to support in the contractual structuring of projects and bids. This will include the review of tender documents, framework agreements, supply and services agreements and consortium agreements in close cooperation with the sales team and commercial counterparts.
  • Advise on India, APJ, and ANZ privacy, cybersecurity, and data protection compliance documentation and privacy terms in commercial contracts globally to ensure they are up to date with applicable legal requirements.
  • Support compliance with incoming India DPPA and other anticipate local and regional privacy, cybersecurity, and data protection laws.
  • Provide expert local and regional support in performing required privacy and data protection reviews.
  • Support audits, assessments and certifications, including responding to local and regional customer privacy and security questionnaires and addressing local privacy related questions.
  • Support the CPO and CISO in responding to local and regional data protection regulatory matters, including breach notification obligations.
  • Provide expert support in major data and privacy investigations and incidents affecting India, APJ, and ANZ.
  • Monitor India, APJ, and ANZ privacy, cybersecurity, and data protection laws and regulatory trends, developments and best practices and know-how sharing.
  • Support corporate governance work like renewal of Trade / Business Licenses, Corporate Registration, conducting Annual General Shareholder Meeting, Board Meetings, necessary filings with local authorities, corporate citizenship, mergers, acquisitions and divestments, legal entity consolidations and dissolutions, and shareholder/stakeholder management.
  • Consult, advise and partner with the local HR team on employment matters for India legal entities, including performance cases, restructuring actions, benefits, compensation schemes, investigations etc. Take lead on engaging external employment counsel on complex matters requiring detailed and specific guidance.
  • Advise the business teams on strategizing and resolving legal issues that arise in existing commercial relationships, potential disputes and addressing any government enquiries.
  • Identify and analyze compliance risks and ensure adherence with applicable laws, regulations and industry standards for topics including but not limited to anti-corruption, anti-money laundering, anti-fraud and antitrust exposure in collaboration with the Compliance team.
  • Secure understanding of compliance, integrity and ethics through continuous training and knowledge transfer to business.
  • Collaborate closely with internal stakeholders, including cross-functional teams, to gather necessary information, evidence, and documentation for legal cases and to provide cohesive and effective legal support.
  • Assessing and managing legal risks associated with ongoing and potential disputes, providing proactive advice to minimize exposure.
  • Staying updated with Indian laws, regulations, and industry trends related to dispute resolution, ensuring compliance and providing proactive advice to mitigate legal risks.
  • Actively participate in the development of processes and policies relating to the Legal Department

Who You Are

  • LL.B Degree from a reputable university in India, with a minimum of 10-12 years of experience in the technology industry.
  • Transaction experience in commercial and corporate contracts mandatory.
  • Experience in handling corporate governance and employment matters.
  • Significant experience with intellectual property, licensing, privacy and data protection, information security and trade compliance in the technology sector, as an in-house counsel or as part of a law firm.
  • Self-motivated, with an ability to work under pressure and to manage multiple tasks & shareholders in a dynamic corporate environment.
  • Confidence and efficiency in advising senior management members.
  • A collaborative and team-oriented approach to work.
  • Good analytical and drafting skills, organized and committed to deadlines.
  • Excellent communication, negotiation and interpersonal skills.
  • Proficiency with Google Suite and Microsoft Office Suite
