Tietoevry Banking is currently embarking on a journey to prepare for being carved out and potentially becoming a listed company in the coming years. We are taking proactive steps to ensure that we are ready for the complex legal, financial, and operational requirements of being a public company. This includes implementing new processes, building out our executive team, and working closely with external advisors to ensure a smooth transition. We are excited about this new chapter in our organization's growth. 

We are now seeking a highly experienced and motivated individual to join our legal department as the Head of Corporate Governance. The ideal candidate will have a strong background in corporate governance, with proven success in developing and maintaining this area, with experience from an international/multi-jurisdictional business/organization. This position will be reporting to Head of Legal Counsel, Tietoevry Banking.

As Head of Corporate Governance, you will belong to the Banking Legal, Compliance & Audit leadership team. Our team consists of 3 departments: Legal, Regulatory Compliance & Privacy, and Audit & Quality Management. The team currently consists of 17 people. 

With us you will:

  • Develop and implement corporate governance policies and procedures, covering all regions where Tietoevry Banking conducts business, to ensure compliance with relevant laws and regulations, and provide legal guidance on corporate governance matters to senior management and board members 
  • Monitor regulatory developments and industry trends related to corporate governance and ensure compliance with all relevant regulations.
  • Develop and oversee processes for shareholder engagement, including annual meetings, proxy statements and investor relations.
  • Establish and maintain relationships with key stakeholders, including investors, regulators, and industry associations.
  • Oversee the preparation and filing of all regulatory documents related to corporate governance, including proxy statements and annual reports, and ensure compliance with SEC rules and regulations. 
  • Work closely with cross-functional teams, including finance, operations, and external advisors, to ensure successful execution of M&A transactions while managing legal risks 
  • Develop and maintain relationships with key stakeholders, including investors, board members, and external counsel
  • Provide advice and guidance to the Board of Directors and executive management on corporate governance matters.
  • Lead and oversee the work of the Corporate Governance team. Provide training and training materials and hold presentations to the organization and the Board. 
  • Some work tasks are subject to the listing of Tietoevry Banking on a stock exchange in, which is yet to be decided on.

Who you are: 

  • Degree from an accredited law school and a current license to practice law in good standing. Finnish law degree is required.
  • 7+ years of experience in corporate governance, preferably from a publicly listed company
  • Strong understanding of corporate governance principles and regulations, including SEC rules and regulations 
  • Excellent communication and interpersonal skills, with the ability to effectively communicate with senior management, board members, and external stakeholders 
  • Strong leadership skills, with the ability to manage a team of legal professionals and drive results 
  • Ability to work in a fast-paced, dynamic environment and prioritize multiple competing demands while managing legal risks 
  • Fluency English is required and fluency in Finnish.
