PRIMARY OBJECTIVES:

To actively contribute to the company vision of putting the world on vacation by providing compliance, corporate and commercial legal advice and services. The responsibilities include advising, reviewing, drafting and assisting in the negotiation of wide range of documents, policies, marketing collateral, programs and contracts for the vacation ownership group in Asia. When required, this position assists the Legal & Compliance team with special projects.

PRINCIPAL RESPONSIBILITIES: Include but not limited to:

  • Assist vacation ownership’s sales and marketing departments with new initiatives, programs, the establishment of new locations and be involved generally in their projects.
  • Review, negotiate and draft commercial, banking and property (including timeshare) acquisition agreements, licences and hotel and resort management contracts. 
  • Assist in the preparation and negotiation of commercial contracts, including negotiations and drafting of contracts conducted wholly in Mandarin and other languages as required.
  • Assist in the review and drafting of disclosure documents and consumer contracts in both English and Mandarin and other languages as required.
  • Review sales and marketing collaterals for vacation ownership group to confirm compliance with applicable laws, company policy and applicable governing documents in both English and Mandarin.
  • Review, administer and prepare monthly product knowledge and compliance testing of Asia sales staff.
  • Develop systems and processes to streamline document flows in business.
  • Provide support to the legal team for acquisitions, property and large commercial agreements including the due diligence process.
  • Co-ordinate Corporate Secretarial functions for the Asia company portfolio including the drafting, review and lodging of relevant Director’s resolutions and annual reports.
  • Prepare and manage template documents.
  • Contract Database entry and reporting for all contracts handled by the Legal and Compliance team in Asia, ensuring expiring and new contracts are assigned to a lawyer and following up to ensure amendments and terminations are finalised and documented appropriately within the Contract Database.
  • Conduct legal research.
  • Display CARE to all internal and external parties.

KEY POSITION CRITERIA:

  • Admitted to practice as a lawyer in the Peoples Republic of China.
  • University legal qualification gained in the Peoples Republic of China or another major Asia Pacific. UK or US jurisdiction.
  • Fluent in reading, writing, drafting documents and speaking Mandarin and English essential. Fluency in other Asian languages an advantage. Have a minimum of 7 years post graduate legal experience in a major law firm in the PRC and/or commercial environment preferred.
  • Ability to exercise and express a sound legal judgment in a commercial environment.
  • Ability to live and work in Shanghai.
  • Experience in drafting, negotiating and finalizing a broad range of commercial and property contracts in English and Mandarin, with prior experience in hospitality, tourism and vacation ownership industries an advantage.
  • High level oral and written communication skills.
  • Ability to take responsibility for and ownership of your work.
  • Ability to identify and address legal issues especially as relates to property, commercial and corporate law, ensuring that the company’s interests are protected.
  • Confidence and ability to communicate and advise all levels of the business up to and including the President and Managing Director on relevant legal matters.
  • Excellent knowledge of relevant law, regulations and policies.
  • High level computer skills, in particular high level of expertise with Microsoft Office programs.
  • Flexible team player with strong organisational skills, tenacity, initiative and decision-making abilities.
  • Ability to effectively prioritise a diverse and constant workflow and so that internal client needs are satisfied.
  • Support others within the team and operate as a collaborative team member.
