Role Responsibilities 

Providing advice and support to the Client Coverage business in India and includes Transaction Banking, Global Credit Markets and Securities Services businesses (collectively referred to as the “CCIB Business”). 

RESPONSIBILITIES

Strategy

  • Providing timely legal advice, guidance and support to stakeholders across the Group on CCIB Business related Legal matters. 
  • To review and negotiate legal documentation with clients and other third parties.
  • To assist in the design and development of new products and initiatives, including customization of existing products and services.
  • Anticipate and proactively provide legal advice and assistance in relation to the CCIB Business related projects and initiatives in the region. 
  • Promote a culture and practice of compliance with legal standards (including conducting business within legal and regulatory requirements, with high ethical standards) within India. 
  • To identify gaps in legal processes and documentation and reduce legal risk.
  • Build the appropriate culture and values and comply with the Group Code of Conduct.
  • To assess the quality and cost of legal services provided by external law firms and to approve the engagement of external law firms.

Business 

  • Provide the CCIB Business legal support in India having regard to PPG/CA parameters and, if applicable, Bank's minimum standards and guidance for the relevant product or services. 
  • Work with Product teams and other stakeholders to structure and define parameters for new products and initiatives and develop template legal documentation.
  • Ensure that global template documents are fit for purposes and promote standardization in India.
  • To assist in the review of legal opinions.
  • Liaise with colleagues in other legal teams for cross-border transactions.

Risk Management

  • Maintain an appropriate risk-based approach to assessing and evaluating Legal Risk arising in Client Coverage, CCIB, India.
  • Identification of legal risks in documentation and processes. Providing legal services to support the business in achieving its objectives and providing commercial and strategic solutions in supporting the growth initiatives.
  • Highlight risks which require approval of senior management and assist the business in escalating those risks for approval. 
  • Liaise with various stakeholders for their approval on risks / deviations.

Governance 

  • Responsible to ensure that product approval documents reflect all relevant legal requirements and issues. 
  • Review PPGs/CAs and clearly articulate the issues and legal risks involved. 
  • Have an awareness and understanding of the regulatory framework in which India operates, and the regulatory requirements and expectations relevant to the role.

QUALIFICATIONS

TRAINING, LICENSES, MEMBERSHIPS AND CERTIFICATIONS

  • Qualified lawyer with a degree. 
  • Experience of managing CCIB Business related legal matters in private practice or in-house. 
  • Substantial legal experience in lending and CCIB Business product areas. 
  • Sharp business acumen (including ability to assess risk), excellent interpersonal skills and cultural awareness and sensitivity. 
  • Understanding of risk mitigation and management techniques. 
  • Sound understanding of the relevant laws and regulations.
  • Exemplary integrity, ethics, independence and resilience. 
  • Analytical approach to practices and procedures.
