This role is for a period of 6-months Fixed Term Contract to support the Group Company Secretary during a very busy period.
We are seeking a detail oriented and proactive governance professional to join our Group Legal & Company Secretarial team. The ideal candidate will support the Group Company Secretary to oversee all aspects of corporate governance, regulatory compliance, and board administration for the Wealth Division.
The role will require extensive minute-taking, so the ideal candidate needs to be comfortable with this.
This role requires excellent organisational skills, attention to detail, strong communication skills and a high level of professionalism. The role would ideally suit an individual who is proactive and can pre-empt the Group Company Secretary’s needs and facilitate efficiencies.
Responsibilities:
- Corporate Governance: Assist the Group Company Secretary to roll out a Corporate Governance Framework for the Wealth Division and implement, and maintain robust corporate governance policies and procedures to ensure compliance with applicable laws, regulations, and best practices. Provide Company Secretarial Support for subsidiary legal entity rationalisation projects (including new company formations and liquidations) for the Wealth Division.
- Board Support: Assist the Group Company Secretary to provide comprehensive support to Titan Advisory Holdings Ltd and the Wealth Division Boards of Directors, Board Committees, and other internal governance committees (including those for the former IWP companies), including scheduling meetings, preparing agendas and meeting materials, and facilitating effective communication between board and committee members.
- Company Secretarial Duties: Assist the Group Company Secretary in managing all company secretarial matters for the Wealth Division, including maintaining statutory registers, filing statutory returns, and ensuring compliance with Companies House requirements.
- Regulatory Compliance: Help to monitor regulatory developments and ensure that the company remains in compliance with all relevant financial services regulations, including the FCA rules.
- Risk Management: Work closely with senior management to identify, assess, and mitigate corporate governance and compliance risks as required, and assist with ensuring that appropriate controls are in place.
- Stakeholder Engagement: Serve as a point of contact for the Wealth Division boards, shareholders, regulators, and other external stakeholders on corporate governance and company secretarial matters.
- Policy Development: Help to develop and implement corporate policies and procedures related to corporate governance, ethics, and compliance for the Wealth Division.
- Board Evaluation and Training: Assist the Group Company Secretary in coordinating board evaluations for Titan Advisory Holdings Ltd and the Wealth Division companies and providing support for director training and development initiatives to enhance board effectiveness.
- Legal Support: Provide legal support and advice to the Wealth Division on corporate governance and company law matters.
- Conduct research and gather relevant information to assist the Group Company Secretary as required.
- Update company secretarial administrative tools for the Wealth Division.
- The individual may also be required to carry out other duties from time to time.
Skills and Expertise:
- Highly developed interpersonal and communications skills, both oral and written, adaptable style and skilful in liaising with internal and external parties.
- Strong attention to detail, accuracy and excellent organisation skills.
- Strong computer literacy and IT skills with high level of proficiency with MS Office suite, notably Word, Excel and PowerPoint.
- Knowledge of company secretarial administrative tools, preferably Diligent for Boards and Diligent Entities.
- Adaptable and collaborative with team members and other internal senior stakeholders and individuals within the Group.
- Ability to work to deadlines and can prioritise complex and competing demands and remain calm under pressure.

- Open to learning and taking direction to develop experience and skills.
