Job Description:

The Transaction Advisory Group ("TAG") at TD Securities is hiring for an [associate] position in New York to support the Global Capital Markets Group, with focus on Debt [and Equity] Capital Markets including Asset-Backed Securities and Leveraged Finance origination businesses. This is an opportunity to join a fast-growing team with high internal visibility at the senior executive level within the entire TD Bank Group. The position will provide an opportunity to gain transaction experience across multiple products and asset classes, and a high level of responsibility in a fast-paced and dynamic investment banking and global markets environment.

Key Responsibilities:

Transactional and advisory support for all products originated by the Global Capital Markets Group (the "Group") as well as other supporting partners such as Syndicate, and Sales & Trading teams:

  • Structure and execute transactions in multiple issuance formats and lead all stages of documentation
  • Provide legal advisory on a wide range of debt offerings for domestic and international clients
  • Negotiate legal and commercial terms specific to the issuer
  • Participate in client pitches, review and draft pitch materials
  • Provide thorough factual and legal research and analysis
  • Coordinate and communicate with various internal departments across the bank and dealer (middle/back office, global counterparts, business management and finance)
  • Keep informed and educate the Group on regulatory and legal developments impactful to their business and clients
  • Produce and review transactional due diligence questionnaires and support internal KYC and onboarding protocols
  • Enhance and support new business solicitations
  • Field sales and investor questions
  • Develop relationships with clients and external counsel
  • Policy development and internal education
  • Assist in new business initiatives and new product development
  • Work with support and control teams to implement and develop internal procedures and controls
  • Develop extensive network of internal contacts across groups including capital markets, syndicates, in-house legal, compliance, business management and external stakeholders including law firms, trustees, ratings and modeling agencies and other transaction advisory teams across other dealers

Requirements:

  • Ability to organize thoughts and clearly articulate points and provide summaries and explanations of transactions, orally or in writing to management or other internal departments
  • Highly collaborative and flexible in a team and client environment with ability to form good relationships internally and externally
  • Highly self-motivated - expect high level of autonomy, roll-up-your sleeves can-do attitude is a must
  • Provides leadership, coaching, counseling and guidance to staff
  • Attention to detail and organization – accuracy of work of utmost importance
  • Ability to prioritize –expect fast-paced work environment with evolving priorities

Qualifications:

  • Bachelors degree required
  • 8+ years of related experience in a law firm and/or an investment bank legal department or transaction execution group
  • Preference for lawyers qualified to practice in NY state with capital markets product experience
  • Strong legal research and analytical skills
  • 1933 and 1934 Act knowledge
  • Must be proficient in the use of MS Excel, Word and PowerPoint

Depth & Scope:

  • Liaises closely with the bank's other operations in Canada, Europe, Asia Pacific, Sydney and the U.S. to assist in meeting the banks objectives.
  • Strict adherence personally and at a desk level to the firm's procedures
  • Understands and complies with TD Policies, regulatory and compliance requirements
  • Ensures that transactions are fully documented and processed accurately and in a timely manner
  • Strong communicator of bank, policy information and strategy between the product head and relevant trading personnel
  • Fully informed on market data, economic information and key industry developments as well as regulatory standards at all times to assist in maximizing profitability through sound trading decisions
  • Develops and maintains contacts with market participants
  • Responsible for being aware of and understanding the approved Business Strategies (Strategic Business Reviews SBR's), applicable to the business
  • Bound by the Market Risk Policies applicable to the business and is responsible for being aware of and understanding the approved Trading Strategies (associated with the respective Market Risk Policies) applicable to the business, and ensuring that all of the trading activity is in alignment with those strategies
  • Responsible for ensuring that trades are entered into the trading system on a timely basis and for ensuring that positions are appropriately valued
  • Must obtain current market prices from an appropriate trader, either verbally or electronically, prior to entering into a binding transaction
  • Required to read and understand the Trading Supervision Standard
  • Responsible for ensuring your Functional and Local Manager(s) are kept current and apprised of all relevant operational, risk management and control issues
  • Responsible for escalating any operational issues to all of your managers, as appropriate
  • Responsible for ensuring the Functional and Local Manager(s) are kept apprised of the business strategy
  • Ensures that the expectations of Functional and Local manager(s) are met, where conflicts or issues arise, ensures that they are escalated to all managers and resolved in a timely manner

Education & Experience:

  • Undergraduate degree in Business (Accounting or Finance) or Mathematics/Economics.
  • Series 7 and 63
  • 7-10 years related experience
