POSITION TITLE: Paralegal - Board Relations
DEPARTMENT: Legal Services
POSITION SPECIFICATIONS:
- Bachelor’s degree required; Paralegal Certificate is a plus. In lieu of bachelor’s degree: Paralegal Certificate with relevant paralegal experience; or related business experience; or Associate's Degree and Paralegal Certificate
- Up to 2 years of paralegal experience or equivalent experience in a deadline-driven, detail-oriented complex legal, corporate or business environment
- Excellent oral and written communication, time management and organization skills
- Advanced decision-making, problem-solving and analytical skills, with particular attention to detail and accuracy
- Demonstrated ability to work independently and to maintain quality of work while meeting established deadlines
MAJOR DUTIES:
Provide Paralegal services to legal counsel and the firm’s mutual funds to meet regulatory and business requirements.
- Provide Board-related support for Federated Hermes mutual funds and operating companies. This includes, but is not limited to the following:
- Planning and attending pre- and post-meetings related board meetings, as necessary;
- Tracking regulatory and special agenda items;
- Drafting agendas and providing reference materials to the board for meetings;
- Attending meetings as requested, and assisting with the drafting of minutes;
- Preparing unanimous consents of the board;
- Assisting with maintenance and updating of contracts, as necessary;
- Provide transactional support for Federated Hermes mutual funds and operating companies. This includes but is not limited to the following
- Generate documentation for securities transactions, including repurchase agreements for offshore and domestic Federated Hermes funds
- Negotiate terms of repurchase agreement documentation with guidance of internal and outside counsel;
- Coordinate execution of all transaction-related documents and maintain all executed agreements;
- Prepare quarterly amendments to exhibits, monthly credit updates, notices, waivers, consents and extensions;
- Prepare and maintain database of documentation in PACTS for all transaction related documents;
- Prepare monthly and other periodic reports and distribute to legal and investment research staff; assemble and maintain legal files for requests as necessary.
- Research, analyze, interpret and respond to legal and procedural issues and group questions, as appropriate.
- Advocate and resolve issues with regulators and clients, as appropriate.
- Coordinate with and provide paralegal services to legal staff, outside counsel and clients.
- Serve as liaison with other departments, outside counsel and clients
HOURS/LOCATION:
- 8:30 a.m. – 5:00 p.m. (overtime as required)
- Location: Pittsburgh, PA (hybrid in-office work schedule)
