The commercial team is seeking a detail oriented and proactive Contract Administrator to manage and oversee aspects of contract development, execution, and compliance within our distribution operations. This role plays a vital part in ensuring our agreements with vendors, customers, and partners are legally sound, accurately documented, and aligned with company policies.
The Contract administrator must be able to work comfortably within contract management systems (CMS) as well as manage contracts outside of the CMS. Contract administrator will work closely with sales, procurement (reviewing and processing Request for Proposal)* and legal teams to facilitate timely contract approvals and assist in mitigating risk to the company. The Contract administrator will have experience explaining legal matters to business associates (sales).
This position has been segmented as Hybrid meaning there is a combination of three onsite days per week and the rest remote.
Responsibilities:
- Review, draft and negotiate form and non-form Non-Disclosure Agreements, form vendor agreements, form customer agreements and other similar type agreements based on assessment of whether modifications are acceptable to Company.
- Review and respond to Request for Proposal (RFP) and Invitation for Bid (IFB) and other similar procurement documents
- Process and maintain communication with various government agencies for Corporate Audits requests
- Draft standard legal documents (i.e., letter of guarantees, credit related documents).
- Gather facts from internal clients to broaden or narrow scope of questions based on information received or subject matter of inquiry.
- Manage contracts in an electronic contract management database.
- Perform other duties as may be assigned from time to time.
Qualifications:
Education/Training:
- Minimum Bachelor’s Degree or equivalent experience required
Related Experience/Requirements:
- Minimum two (2) years related transactional experience in contracts; prior in-house experience strongly preferred
Knowledge/Skills/Abilities:
- Ability to work with varying seniority levels
- Knowledge of legal requirements involved with contracts
- Microsoft Office expertise required especially SharePoint, Word, Excel, Outlook and PowerPoint
- Some familiarity and use of a legal department matter management system (i.e., Legal Tracker or similar matter-management system)
- Ability to manage multiple projects
- Demonstration of strong organizational skills, excellent grammar, and attention to detail
- Strong analytical skills
- Ability to express, whether written or oral, legal issues in clear, concise language
- Time management and problem-solving skills
Compensation depends on relevant experience and/or education, specific skills, function, geographic location, and other factors as applicable by law (for example: state minimum wage thresholds). The expected base rate for this role is between
$55,000 - $90,000
